Governance Explanations

Form 990, Part I, VI, and Part VII - Board Count

A total of thrity-six persons served on the board of directors during the fiscal year. Those thirty-six are shown in part vii of form 990. As of june 30, 2016 there were a total of thirty-four voting board members serving the organization as disclosed in part vi, lines 1a and part i, lines 3.

Form 990, Part VI, Section A, Line 4

In february 2016, there were five significant changes made to the organization's bylaws: 1) to fix the authorized number of voting directors to a maximum of 35. 2) to formally provide that any individual who serves concurrently as chair and chief executive officer ("ceo") is an ex-officio director. This change resolves an existing ambiguity in the bylaws when the offices of chair and ceo are held by the same individual. In such an event, the chair/ceo shall have the same rights and obligations as class a and class b directors for the duration of the time that the chair/ceo concurrently holds both offices. 3) to clarify that an ex-officio director counts for quorum purposes and is a voting member of the board. 4) to clarify that honorary directors do not count for quorum purposes as non-voting members of the board. 5) to eliminate a superfluous reference to the maximum duration of the employment contract of the chair/ceo. The maximum duration is already addressed in the same section.

The form 990 is prepared by the ci's finance staff in conjunction with ci's independent accounting firm. The form 990 is reviewed by the audit committee. Before the final form 990 is filed with the irs, it is submitted to each voting member of the board of directors.

Form 990, Part VI, Section B, Line 12C

All directors, officers, staff and grantees are required to disclose conflicts of interest to the office of the general counsel. The conflict is entered into a database, and if possible, the general counsel takes steps to mitigate the conflict. Our internal auditors also review conflicts with staff and grantees as part of their standard scope of work.

Form 990, Part VI, Section B, Line 15

Ci contracts an independent firm specializing in compensation to conduct an annual review of ci's disqualified person's total compensation packages. The firm uses comparable organizations and positions for the review. The firm's report is reviewed and approved by ci's compensation and management development committee of the board of directors and is relied upon when setting salaries for disqualified persons. Contemporaneous substantiation of the deliberation and decision are documented in the board of directors meeting minutes.

Conservation international works to ensure a healthy and productive planet for everyone on earth - because people need nature. We work at every level, from remote villages to the offices of presidents and ceos, to help move whole societies to value and account for nature's role in human well-being and to chart a healthier, more sustainable development path. We focus our efforts on three areas: 1. We work to protect our natural wealth: we identify and protect the spectacular but vulnerable places on land and at sea that are especially important to humanity-the places that provide our food, water and the air we breathe. 2. PART V, LINE 4:

The endowments have been restricted for several different purposes including non-us operations and training new conservationists. All accumulated earnings on the permanent endowment are included in the temporarily restricted endowment percentage and included in the temporarily restricted net assets on our statements.

PART X, LINE 2:

Income taxes: ci is exempt from income taxes under section 501(c)(3) of the irc. Ci is subject to unrelated business income taxes under section 512 of the irc; however, in the opinion of management, no provision for income taxes is required to be made. Ci follows the accounting standard on accounting for uncertainty in income taxes, which addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. Under this guidance, ci may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by taxing authorities, based on the technical merits of the position. The tax benefits recognized in the financial statements from such a position are measured based on the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlement. The guidance on accounting for uncertainty in income taxes also addresses de-recognition, classification, interest and penalties on income taxes, and accounting in interim periods. Management evaluated ci's tax positions and concluded that ci had taken no uncertain tax positions that require adjustment to the consolidated financial statements to comply with the provisions of this guidance. Generally, ci is no longer subject to income tax examinations by the u.s. Federal, state or local tax authorities for years before 2013. The aforementioned field offices are organized as tax-exempt entities in their respective countries, with the exception of ci-guyana. This field office is organized under the companies act of guyana regulations. Its by-laws prohibit the accumulation or distribution of profits.
