If a conflict should exist, the entire board of directors will then decide if the conflict is materially sufficient to warrant that board member to either step down or remain on the board with limited voting rights.”

The compensation of officers and key employees of ywca- nca is determined based on market data, comparable data from the nonprofit sector for similar positions and actual historical compensation of individuals seeking employment for vacant positions.”
