Governance Explanations

Form 990, Part VI, Section A, Line 6

Any person or business entity which has an interest in the production, distribution, or use of chlorinated solvents or manufacture or distribution of degreasing equipment, or otherwise shares common interests with hsia, and who agrees to pay membership dues as established from time to time by the board of directors may become a member of hsia. Trade associations representing users of chlorinated solvents may become members of hsia.

Members shall be elected as follows: the name of any applicant for membership shall be submitted to the board of directors for approval. Applications shall be approved where the board of directors determines by a majority vote that the applicant engages in an activity and otherwise meets the criteria which would render such applicant eligible for membership.

Financial Statement Notes

PART X, LINE 2:

The accounting standard on accounting for uncertainty in income taxes addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. Under that guidance, hsia may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by taxing authorities based on the technical mertis of the position. Examples of tax positions include the tax-exempt status of hsia and various positions related to the potential sources of unrelated business income tax (ubit). The tax benefits recognized in the financial statements from such a position are measurerd based on the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlement. There were no unrecognized tax benefits related to uncertain tax positions identified or recorded as liabilities for the years ended december 31, 2016 and 2015.
