“The organization revised its bylaws during 2014 to note the following: 1. While an eightmember board will remain, there will also be four "atlarge directors" elected to fill twoyear terms. 2. The immediate past president will replace the membership chair as an officer. 3. Similar to the national association, the secretarytreasurer will be elected by the board of directors. 4. Added the definition of an executive committee.”

“Active, retired-active and continuation-active members elect the members of the governing body.”

“The organization does not have any other committees with authority to act on behalf of the governing body.”

“A copy of the form 990 will be e-mailed to all directors for their review prior to filing with the irs.”

“Each officer and director has a duty to disclose any potential conflicts of interest. In the event of potential conflict during the year, that board member will recuse himself or herself from the discussion and vote.”

“The president of the board performs a review of the managing director's salary on an annual basis. Comparability data from the organization's counterparts and survey data from the association executives of north carolina are provided to the executive committee for their review and consideration. The board votes on the approval of the salary increase suggested by the president. All final decisions are documented.”

“The organization's governing documents, conflict of interest policy and financial statements are available to the public upon request.”
