“Fssa is managed by the association managment company of clemons & associates, inc. Fssa maintains its headquarters at clemons & associates' offices located at 3601 e. Joppa road, baltimore md 21234. All regular fssa staff members are employees of clemons & associates adn are provided to fssa on an as-needed basis. Fssa and clemons & associates have a letter of agreement that defines the responsibilitiesof the management firm. A management fee is negotiated that covers the cost of the fssa executive director, support staff, office, equipment, and office space.”

“Fssa's bylaws provide for six classes of membership: 1) manufacturer, 2) designer-installer, manufacturer-installer, 4) supplier, 5) honorary, 6) associations.”

“Manufacturer, designer-installer, manufacturer-installer and supplier members are voting members of the association. The election of memvers to the board of directors is mad at the time of the annual meeting and are for annual terms not to exceed two years.”

“A final draft of form 990 is email to all board members.”

“If the governing board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest it shall inform the member of the basis for such belief and afford the member an opportunity to explain the aleged failure to disclose. If, after hearing the member's response and after making further investigation as warranted by the circumstances, the governing board or committee determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action.”
