“The four Officers serve as the members of the Executive Committee. The Executive Committee has many of the powers and authority of the Board of Directors during intervals between meetings of the Board of Directors, but is subject to the direction and control of the full Board and cannot take actions that significantly or materially affect the Board or the organization without seeking full Board approval. Actions expressly not permitted without full Board approval include mergers, acquisitions, corporate dissolution and termination of the President/CEO. In some circumstances, the Executive Committee may act to negotiate terms, with Board approval, that will then be brought to the full Board for final approval.”

“The Board Treasurer reviews Form 990 along with the Finance Committee. They recommend changes and ensure compliance prior to submission. The Treasurer presents the 990 to the entire governing Board at the first available Board meeting. If changes are recommended at that time, an amended 990 is filed with the IRS.”

“The conflict of interest policy is provided in every Board Member's manual given during orientation. If any Board Member has a conflict of interest, they are not allowed to vote on the conflicted matter. Because this is a relatively small Board and Board Members are not financially vested in the organization, this is informally monitored. It is the responsibility of the Board Members to determine whether a conflict of interest exists.”

“The Executive Committee gathers and reviews information regarding pay for similarly-sized and located organizations. These comparables are considered when establishing establish a base plus benefits package for the President/CEO. Review of performance goals is considered as well. Compensation for other officers is reviewed and approved by the full Board annually.”

“The audited financial statements, conflict of interest policy, and any other governing documents are available upon request.”
