“The form 990 was prepared by the outside accountants and was reviewed by senior management. The audit and finance committees reviewed the form 990 prior to filing. The board was invited to review the 990 before filing and a copy was provided electronically to all board members before the 990 was filed.”
“The organization annually sends out a conflicts of interest policy to its board members, officers and key employees and requests a signed disclosure form from each covered individual. Any disclosed conflict is reviewed by the general counsel. If a conflict does exist on a specific issue, meeting minutes reflect the board action to clear the conflict, either by having the affected board member, officer or key employee recuse themselves from the discussion or vote or remove themselves from all deliberations. This policy also applies to employees. All director-level staff certify annually they have reviewed the policy and have no potential conflicts to report. If a conflict is reported, it is reviewed by general counsel who resolves the conflict.”
“Within the fiscal year, the president's compensation was reviewed by a committee of independent directors and an external compensation consultant. The results were presented to the full board for review and approval. Minutes are kept of such meetings. Compensation for senior level staff is analyzed periodically by an independent consultant in conjunction with management.”
“The human rights campaign does not make its governing documents or conflicts of interest policy available to the public. The combined financial statements of human rights campaign and human rights campaign foundation are posted on the website www.hrc.org.”
“The executive committee meets as needed between board of directors meetings and has the authority to exercise many of the powers and duties of the board of directors, except the election of directors to fill vacancies on the board of directors, the removal of directors from the board, the appointment or removal of the president, and the amendment of the bylaws. Unless otherwise specified by an act of the board of directors, the executive committee is the only committee authorized to take action that would otherwise require a vote of the board of directors.”
“The human rights campaign (hrc) and human rights campaign foundation (hrcf) have entered into a cost sharing arrangement under which hrcf reimburses hrc for hrcf's allocable share of the compensation of certain employees for performing services provided to hrcf. Compensation reimbursed by hrcf is not additive to the compensation reported by hrc. Hrc and hrcf are not "related organizations" as that term is defined in the form 990, glossary. Pursuant to their agreement, hrcf reimbursed hrc for its share of compensation as follows: andrea green (officer) $89,732 herrin hopper (officer) $92,640 james m. Rinefierd (officer) $133,881 jay brown (officer) $250,411 joni madison (officer) $102,156 nicole greenidge-hoskins (officer) $129,970 kelley robinson (officer) $66,870”

“Hrc performed an evaluation of uncertainty in income taxes for the year ended march 31, 2023, and determined that there were no matters that would require recognition or disclosure in the combined financial statements or that may have any effect on its tax-exempt status.”
“Fundraising event expenses 3,699,739. Cost of goods sold 206,738. Revenue of separate 527 funds included in the audited financial 1,691,962. Statements and excluded on the federal form 990”

| IRS990/Desc | 0 | FEDERAL, FIELD AND LEGAL ADVOCACY: AT THE FEDERAL LEVEL, HRC ADVOCATES FOR POLICIES, REGULATORY CHANGES AND LEGISLATION THAT GUARANTEE THE LEGAL EQUALITY OF LESBIAN, GAY, BISEXUAL, TRANSGENDER AND QUEER PEOPLE. WE FACED AN ONSLAUGHT OF ANTI-LGBTQ+ LEGISLATION AND HAVE TAKEN MANY OF THESE STATE POLITICIANS TO TASK VIA LEGISLATIVE AND LOBBYING EFFORTS. WE ARE DETERMINED TO PROTECT TRANS YOUTH, LGBTQ+ YOUTH AND LGBTQ+ PEOPLE FROM THIS DISCRIMINATORY LEGISLATION IN AS MANY WAYS AS WE CAN, INCLUDING THROUGH MAJOR POLITICAL ENDORSEMENTS FOR THE UPCOMING MIDTERMS AND DEMANDING MORE FROM LEADERS AT EVERY LEVEL OF GOVERNMENT AND ACROSS INDUSTRIES. WE ALSO COLLABORATED WITH A PARTNER ORGANIZATION TO WORK WITH MORE THAN 200 MAJOR COMPANIES TO SPEAK OUT AGAINST THE LEGISLATION. WE ARE DETERMINED TO FIGHT DISCRIMINATORY LAWS AND ELECT LAWMAKERS WHO WILL HELP TO CHANGE THE POLITICAL LANDSCAPE OF OUR FUTURE.WE ALSO SAW ATTACKS ON OUR FUNDAMENTAL FREEDOMS MAKE THEIR WAY TO THE SUPREME COURT. THE PRECEDENT SET BY ROE V. WADE, WHICH CONSTITUTIONALLY PROTECTED REPRODUCTIVE RIGHTS FOR NEARLY 50 YEARS, WAS OVERTURNED. WE STOOD SHOULDER TO SHOULDER WITH OUR ALLIES IN THE MOVEMENT WORKING TO PROTECT AND EXPAND ACCESS TO SAFE, LEGAL ABORTIONS AND REPRODUCTIVE FREEDOM FOR EVERY BODY.HRC ENGAGED THE BIDEN ADMINISTRATION ON IMPACTFUL LEGISLATION AND POLICIES RELATED TO COLLECTING DATA ON LGBTQ+ PEOPLE VIA FEDERAL SURVEYS, ABANDONING AN OUTDATED AND DISCRIMINATORY POLICY THAT CALLED FOR SERVICE MEMBERS TO BE DISCHARGED OR PREVENTED FROM ADVANCING BECAUSE THEY WERE PEOPLE LIVING WITH HIV; AND RESTORING TITLE IX PROTECTIONS THAT WERE STRIPPED AWAY DURING THE TRUMP ADMINISTRATION AND FURTHER REINFORCING PROTECTIONS FOR LGBTQ+ PEOPLE.IN LATE 2022, WE CELEBRATED THE PASSAGE OF THE RESPECT FOR MARRIAGE ACT, ARGUABLY THE BIGGEST LEGISLATIVE WIN IN THE FIGHT FOR LGBTQ+ EQUALITY SINCE THE SO-CALLED "DON'T ASK, DON'T TELL" LAW WAS REPEALED IN 2010. THIS GUARANTEES THE FEDERAL RIGHTS, BENEFITS AND OBLIGATIONS OF MARRIAGES IN THE FEDERAL CODE FOR SAME-SEX COUPLES; REPEALS THE DISCRIMINATORY DEFENSE OF MARRIAGE ACT; AND AFFIRMS THAT PUBLIC ACTS, RECORDS AND PROCEEDINGS SHOULD BE RECOGNIZED BY ALL STATES. IT ALSO CODIFIES THE SAME RIGHTS FOR INTERRACIAL COUPLES. HRC WORKED TIRELESSLY TO ENGAGE OUR MEMBERS, SUPPORTERS AND BUSINESSES IN FAVOR OF THIS LEGISLATION. WE CONTINUED TO WORK WITH STATE AND NATIONAL PARTNERS TO TRACK AND ORGANIZE FIELD EFFORTS AROUND THE EQUALITY ACT. OUR COALITION HAS HELPED EDUCATE AND APPLY PRESSURE TO KEY U.S. SENATORS THROUGH TARGETED ON-THE-GROUND ACTIONS. |
