Governance Explanations

Form 990, Part VI, Section B, Line 11B

The tax return is submitted to the finance committee for approval prior to filing. The finance committee is authorized to review and approve the return on behalf of the entire board. A copy of the return is made available to all board members.

Form 990, Part VI, Section B, Line 12C

Any board member, employee, or volunteer shall promptly report in writing to their appropriate supervisor (or, in the case of a board member, to the president of the board) any actual or contemplated transaction which may involve a conflict of interest. Each board member, employee, and volunteer shall complete a questionnaire relating to this policy upon association with the fund for educational excellence and thereafter when changes occur or upon request.

Form 990, Part VI, Section B, Line 15

The compensation arrangements must be approved in advance, before any payment is made, by the approval body of the fund composed entirely of individuals who do not have a conflict of interest with respect to the compensation arrangements. When the approval body is considering compensation to covered individuals, it must rely on comparable data that demonstrates the fair market value of the compensation in question.

FORM 990, PART XII, LINE 2C:

The organization does have a committee that assumes responsibility for oversight of the audit, review, or compilation of its financial statements and selection of an independent accountant. The oversight and selection process have not changed from the prior year.

Financial Statement Notes

PART X, LINE 2:

The fund is exempt from income taxes under section 501(c)(3) of the internal revenue code and is classified by the internal revenue service as an organization that is not a private foundation. Accordingly, no provision for income taxes is made in the financial statements. The fund follows the provisions of accounting for uncertainty in income taxes under the income taxes topic of the codification. The codification requires the evaluation of tax positions, which includes maintaining its tax-exempt status and the taxability of any unrelated business income, and does not allow recognition of tax positions which do not meet a "more-likely-than-not" threshold of being sustained by the applicable tax authority. Management does not believe it has taken any tax positions that would not meet this threshold. The organization's income tax returns are subject to possible federal examination, generally for three years after they are filed.

Permanent Endowment - Part V, Line 4

The permanent endowment consists of one donor restricted fund established to provide a source of income to recognize teacher achievement.
