Governance Explanations

PART VI, SECTION A, LINE 2:

Patrick kilner (vice-chairman) and patrick kilner, jr. (director) are related.

PART VI, SECTION A, LINE 6:

The by-laws of the heights, inc., calls for the appointment of members (not less than five nor more than seven) whose responsibility is to protect and promote the original spirit and mission of the school. To this end, they appoint and remove members of the board of directors, amend the articles of incorporation and revise the by-laws, and respond to inquiries from the board of directors on matters relating to the spirit and mission of the school.

PART VI, SECTION A, LINE 7A:

One of the responsibilities of the members is the appointment and removal of the board of directors.

PART VI, SECTION A, LINE 7B:

The members hold the responsibilities of the appointment and removal of the board of directors; the amendment of the articles of incorporation and the revision of the by-laws; and the response to inquiries from the board of directors on matters relating to the spirit and mission of the school.

PART VI, SECTION B, LINE 11:

A review of the draft form 990 will be conducted by the school's business manager prior to submission to the irs. This review will consist of a careful examination of the return for accuracy and discussion of any questions/concerns with the form preparers.

PART VI, SECTION B, LINE 12C:

The by-laws of the heights, inc., require that directors, officers, administrators, faculty, and other employees of the school disclose any actual or potential conflicts of interst that may exist in connection with their responsibilities at the school. So that the board of directors can provide guidance and take appropriate action, as a means to monitor and enforce compliance with the conflict of interest policy, directors and officers are required to complete a disclosure statement annually describing any potential conflicts of interest and membership on other boards.

PART VI, SECTION C, LINE 19:

Upon receipt of a written request, and with the approval of the chairman, headmaster and chief financial officer, the governing documents of the school are made available for inspection at the offices of the school.

PART VI, LINE 15A:

The chief financial officer is the key financial officer for the school, and the process for determining his compensation is as follows: a) the chief financial officer meets with the headmaster on or before may 15th for a formal review of the just-completed school year; and b) any adjustment of the chief financial officer's compensation is determined as a result of this review.

Additional Explanations

PART XII, LINE 2C:

The process for overseeing the audit of the financial statements and selection of an independent accountant that audited the financial statements has been consistent with prior years.

Financial Statement Notes

Part V, Line 4

Proceeds of earnings on original endowment amounts are restricted by the donors to be used for financial aid and plant improvements as deemed consistent to the specific endowment purpose. The earnings, losses, and expenditures of these funds are reported as temporarily restricted net assets.

Part X, Line 2

The school is exempt from income taxes under section 501(c)(3) of the internal revenue code ("irc"), except for unrelated business income, as defined by the irc. The school did not have any unrelated business income during the years ended june 30, 2015 and 2014. Accordingly, these statements do not reflect a provision for income taxes. The school is required to file, and does file, tax returns with the internal revenue service ("irs") and other taxing authorities. Tax returns filed by the school are subject to examination by the irs for a period of three years. While no income tax returns are currently being examined by the irs, tax years since 2011 remain open. The school has adopted the income tax standard for uncertain income tax positions. During the years ended june 30, 2015 and 2014, the school did not identify any uncertain tax positions that qualify for either recognition or disclosure in the financial statements.
