Governance Explanations

Form 990, Part VI, Section B, Line 11B

The 990 is reviewed by the treasurer, the president, the secretary, and the finance committee of the board prior to filing.

Form 990, Part VI, Section B, Line 12C

Each director, principal officer and members of the committee with board-delegated power are required to sign an annual conflict of interest statement.

Form 990, Part VI, Section B, Line 15

The house of ruth's ceo/president has the sole approval authority for all staff members compensation and the house of ruth's board of directors has sole approval authority for the ceo/president's compensation. Process for staff- wages and salaries for new staff are determined by a standard schedule which factors in the position, the schedule of hours worked, education level and relevant experience. Merit increases are given on an annual basis and are supported by a written evaluation. Process for ceo/president: the salary for a new ceo/president would be set by the board of directors. The board completes an annual review of the ceo/president and approves an increase which mirrors the range of staff increase. The board also completes a due diligence process of comparable organizations.

FORM 990, PART XII, LINE 2C:

Financial Statement Notes

PART X, LINE 2:

The organization adopted the provisions of fasb asc 740, accounting for uncertainty in income taxes, which requires that a tax position be recognized on a 'more-likely-than-not' threshold. This applies to positions taken or expected to be taken in a tax return. The implementation of fasb asc 740 had no impact on the organization's audited financial statements. The organization does not believe their financial statements include (or reflect) any uncertain tax positions.
