“The executive committee of the board of directors shall have and exercise the powers of the board of directors with respect to operating issues between meetings of the board of directors and the powers specifically provided in the bylaws. The executive committee shall not have authority to act for the board regarding election of officers, dues and assessments, or amendments to the bylaws. The executive committee shall not take any action that would contravene or negate previous actions of the board of directors. The executive committee shall meet upon the call of the chair or any two other members of the executive committee. The presence of a majority of the executive committee shall constitute a quorum for the transaction of business. The executive committee may discuss matters, but not take action, in the absence of a quorum.”

“The organization amended its bylaws to reflect newly created separate member sub-categories for branded marketers, contract manufacturers, ingredient manufacturers and ingredient distributors and representatives. Each category will have separate dues rates that are more reflective of their business models (and relative profit margins). Associate membership dues will also be tiered based on the size of the firm. The size of the executive committee increased to 15 members.”

“Crn offers three categories of membership: voting membership for any company or person who manufactures a dietary supplement, functional food, or a dietary ingredient used in a dietary supplement or functional food, or who distributes a dietary supplement or functional food under its own brand. Associate membership for any company or person who supplies services, products (other than dietary ingredients) or other support to a company or person eligible for voting membership is eligible for associate membership. A company who manufactures a dietary supplement, functional food or dietary ingredient or markets or distributes a dietary supplement, functional food or dietary ingredient under its own brand qualifies as a voting member of crn and may not join as an associate member. International membership for any company or person that is otherwise eligible for voting membership in crn, but does business exclusively outside the u.s. Companies marketing, selling or distributing eligible products in the united states do not qualify for international membership.”
