Governance Explanations

Form 990, Part VI, Section B, Line 11

The board of directors did not review the form 990. However, they did approve the financial statement audit. The treasurer reviews the form 990 before it is filed.

Form 990, Part VI, Section B, Line 12C

The highway loss date institute has a written conflict of interest policy for its employees and the board of directors. The board of directors completed an annual survey that monitored and enforced compliance with the conflict of interest policy and identified any family and business relationships.

Form 990, Part VI, Section B, Line 15

Under the institute's bylaws, the finance and nominating committee has the authority to set compensation for officers of the institute. In december 2013, the finance and nominating committee of the insurance institute for highway safety board of directors met to review the officers' compensation for calendar year 2014. The insurance institute for highway safety provides the funding for the highway loss data institute annual budget. The committee reviewed each officer's performance, compensation history, and comparability data on officer compensation reported on form 990 for several non-profit organizations that have communications and research responsibilities similar to the institute and motor vehicle related organizations that work on highway and vehicle safety issues. In addition the committee members drew upon their knowledge of compensation within their own companies, the insurance industry, and the national trends in compensation. The decision on compensation was made soley by the committee, which consists of individuals that are not subject to the control of the institute's officers.

Form 990, Part VI, Section C, Line 18
