“Certain governance decisions are delegated to the executive commitee of the foundation. This committee is made up of the principal officers of the foundation, with the option of one additional member to be appointed by the foundation chair.”

Previously this power was delegated to the executive committee. Certain powers, including appointing the foundation director, have been granted to the president of asis. The titles of president and vice president were changed to chair and vice chair, respectively. The roles of secretary and treasurer were combined into one position and this role was taken out of automatic succession. The roles of chair and vice chair were given 2-year terms, and it was specified that the past chair would serve on the asis global board.”

“The removal of trustees are subject to approval by asis. The asis president-elect approves the classes of trustees each year. The president of asis approves the backfilling of vacated trustee positions. The asis exectuvie committee must approve changes to the foundation's bylaws.”

“The controller, cfo and foundation director review the 990. It is then reviewed and approved by the principal officers. The 990 is made available to all trustees prior to filing.”

“Each trustee or officer is expected to bring to the board's attention any offices held or nominations for offices in other societies or organizations that may constitute a conflict of interest with their duties and responsibilities as a trustee or officer of this foundation. In the event any trustee or officer is found to have violated any of these policies or to have failed to disclose an actual or apparent conflict of interest, the board may remove that person as a trustee or officer, ask for a withdrawal of candidacy or resignation of office from the other organization, take no action, determine that no conflict exists, grant a waiver or exception, or take any other action as to the board may seem appropriate and in the best interests of the foundation. The conflict of interest form is completed annually.”
