The roles of secretary and treasurer were combined into a single role, and certain other officer roles were renamed and revised. The composition of the executive committee was updated, and the targeted size of the board was reduced to 10-14 members.”

“The controller, cfo and foundation director review the 990. It is then reviewed and approved by the principal officers. The 990 is made available to all trustees prior to filing.”

In the event any director or officer is found to have violated any of these policies or to have failed to disclose an actual or apparent conflict of interest, the board may remove that person as a director or officer, ask for a withdrawal of candidacy or resignation of office from the other organization, take no action, determine that no conflict exists, grant a waiver or exception, or take any other action as to the board may seem appropriate and in the best interests of the foundation. The conflict of interest form is completed annually.”
