“After a review of the form 990 by the financial management of the school, the school's audit committee will then review the return. The final step in the review process will be the presentation of the form 990 to the full board of trustees of the school with donor information redacted.”

“The key school board of trustees is governed by a set of by-laws which includes a conflict of interest statement. This statement mandates that any duality of interest or conflict of interest on the part of any trustee must be disclosed to the other members of the board and made a matter of record. This disclosure is conducted annually by the committee on trustees with results reviewed by the head of school's office. Any acknowledged conflicts are shared back to the committee on trustees for disposition per article ix in the by-laws. Key school employees also have a conflict of interest policy in their employee handbook. This policy mandates that conflicts should be reported to the employee's manager. Any conflicts not reported may result in disciplinary action, up to and including termination. Each manager is responsible for compliance within their area of oversight.”

“The compensation committee of the key school board of trustees annually reviews the compensation of the head of school to confirm alignment with industry norms. Factors taken into consideration include benchmarked salary data from the national association of independent schools on similarly aligned and sized independent schools in the area. The committee reviews this data before making a recommendation to the board of trustees regarding appropriate compensation.”
