Governance Explanations

Form 990, Part VI, Section B, Line 11B

A copy of the draft form 990 will be reviewed by the executive committee, discussed and corrected if needed prior to irs submission. The revised form 990 will then be shared with the full board at the next regularly scheduled board meeting.

Form 990, Part VI, Section B, Line 12C

Conflict of interest statements were completed by the board members. Disbursement of the statements occurs at the first full board meeting of each calendar year. On-going monitoring and enforcement of the conflict of interest policy is the responsibility of the secretary of the board of directors, who will report to the chair of the board any issues, concerns or refinements that need to be enacted.

Form 990, Part VI, Section B, Line 15A

The executive committee board members, under the guidance of the chair of the board, establish the goals and objectives of the executive director. The process for determining compensation for this position may include the use of outside expert advice and comparability data. Such discussions are undertaken at board meetings at least annually. Contemporaneous substantiation of the deliberation and decision are documented.

Form 990, Part VI, Section C, Line 19

Upon request, the organization makes its governing documents, conflict of interest policy, and financial statements available to the public.
