Governance Explanations

Form 990, Part VI, Section A, Line 4

For each open board position of the six that shall be active members of the virginia state bar, the virginia state bar will recommend at least two candidates. For each open board position of the six that shall be active members of the virginia bar association, the virginia bar association will recommend at least two candidates. For each open board position of the three that shall be non-practicing lawyers, the virginia state bar will recommend two candidates. The executive director of the virginia state bar will now serve as an ex-officio member of the committee on continuing legal education along with the vice president of the foundation. Any director elected or serving as president-elect or vice-president during his or her final year of a second successive term, will be eligible to continue service as a regular director with the right to vote while fulfilling his or her duties as vice president, president-elect and/or as president and in such event the number of directors shall be increased accordingly. The committee on continuing legal education can maintain financial accounts only with the consent of the board of directors of the foundation. The accounts shall be used by the committee and foundation for the purpose of financing continuing legal education activities for practicing attorneys and such other purposes consistent with the mission of the foundation or otherwise authorized by the board of directors of the foundation. Appropriations to the committee on continuing legal education shall be transferred to the accounts of the committee or to such other foundation account as may be designated by the executive director or the board of directors of the foundation.

Form 990, Part VI, Section B, Line 11B

The 990 is scanned and sent to the board of directors for review before it is signed by our president, lucia anna trigiani.

Form 990, Part VI, Section B, Line 12C

At the beginning of each fiscal year, the executive director of vlf and the executive director of virginia cle circulate to all board and committee members a copy of the conflict of interest policy. Each member is asked to review, sign and return the form for our files. Board meeting minutes reflect when a member abstains from vote due to a conflict of interest.

Form 990, Part VI, Section B, Line 15

Executive director: the appropriate committee of the vlf confers to determine compensation for the vlf executive director and then the full vlf board approves the compensation. The president of the vlf consults with the executive director on a regular basis, and regularly informs the executive director with regard to the evaluation of his performance. Other officers & key employees: all salaries are reviewed first by the appropriate representatives of the vlf and its committee on continuing legal education. The salaries are approved by a vote of the cle committee. The full salary package is then customarily reviewed and approved by the virginia law foundation's board of directors.
