Mccoll center dedicates itself to catapulting artists to the leading edge of contemporary art by providing a state-of-the-art facility, a challenging, dynamic environment, collaboration among artists and the community, bold exhibitions, and a strong affiliation with worldwide arts organizations.

Governance Explanations

Form 990, Part VI, Section A, line 4

Prepared A&R Bylaws to update the current Bylaws. Key provisions which were revised are as follows: Article I. Name, Officer and Purposes. Section 4. We included a provision stating that the purpose of the corporation is to operate exclusively for charitable purposes within the meaning of the Internal Revenue Code. Article II. Board of Directors. Section 2. Number, Term and Qualification; Election of Directors. We updated the provisions related to the number, term, qualification and election of the Board to simplify the process. Sections 4 and 5. Removal. We included provisions regarding the process for removal or resignation of a director. Article III. Meetings of Directors. Section 7. Action Without Meeting. We updated the action without meeting provision to allow for electronic written consents. Section 8. Meeting by Conference Telephone. We added a provision to allow for remote presence by a director at meetings. Article IV. Committees. We eliminated inconsistencies in the committee authority provision. Article V. Officers. Section 3. Compensation. We have moved the current provision to a section under Officers. Sections 4 and 5. Removal; Resignation. We included provisions regarding the process for removal or resignation of an officer. Sections 7, 8 and 9. We updated the provisions to include descriptions for the positions of Chairman of the Board, Chairman-Elect of the Board, and Immediate Past Chairman of the Board. Sections 13 and 15. Positions. We added in an option for the election of Assistant Treasurers and Assistant Secretaries. Article VI. Indemnification of Directors and Officers. We added an Article to provide indemnification, in a proceeding in which they are named, for directors and officers and other employees or agents as approved by the Board and as allowed by law. Additionally, the additions provide the Board with the authority to advance expenses in connection with any such proceeding. Article VII. General Provisions. Section 9. Electronic Transactions. We updated the language to clarify that any transaction of the Board may be conducted by electronic means. Section 10. Conflict of Interest. We added a provision to set forth the process in the event a member of the Board has a conflict of interest. We also streamlined the Bylaws to include the previous amendments in the text of the A&R Bylaws, instead of having them interspersed throughout the text to make them easier to use in practice.

Third Major Program Service Accomplishment: Our Innovation Institute, started in 2005, applies creative principles to professional and personal development. In 2016-17, II delivered 20 sessions (15 on-site, 5 off-site) and served 645 total participants. In addition, II brought on two new local artist faculty members (Ben Premeaux + Isaac Depena). Clients in FY17 included: Queens University, Ingersoll Rand, Center for Creative Leadership, CMS, Umicore, TIAA, YPO Chapter, Bank of America, Eco17 Conference at the NC Zoo, Mecklenburg County Youth + Family Services (Foster Youth) Innovation Institute Program Highlight: From Oct 2016 to Jan 2017, four teams totaling 24 individuals from CMS learned how concepts used in the creative and design thinking process could be applied to challenges within their schools. The program balanced experiential learning, active discussion, presentation of content, and action planning so that educators could work together to identify solutions to a Problem of Practice (POP) while applying principles and practices used by artists and designers.

Part V, Line 4:

The Center's endowment consists of the beneficial interests in the Greater Charlotte Cultural Trust. This endowment consists of three individual donor-restricted endowment funds. The Center's endowment exists to support the programmatic efforts of The Center. As such, a portion of the spendable endowment earned each year is used for this purpose. The balance is held as a cash operating reserve and to bridge revenue/expense timing gaps (working capital needs).
