Governance Explanations

Form 990, Part VI, Section B, Line 11

Prior to the filing of the form 990 ingleside homes, inc. Distributes the form 990 and all supporting schedules to the board of trustees members via email. Ingleside homes, inc. Requests all trustees to respond confirming that they have received the 990, and requires that they review the form within a specified period of time. If comments are not received within the specified period of time, approval is implied.

Form 990, Part VI, Section B, Line 12C

Ingleside homes, inc requires that all officers, directors, trustees, and key employees annually sign a representation that all interests that could give rise to conflicts have been disclosed.

Form 990, Part VI, Section B, Line 15

The executive committee, a sub-committee of the board of trustees, annually evaluates the president (ceo) and the development director. The evaluation of the development director by the executive committee was identified as being necessary to avoid a conflict of interest due to a family relationship between the president (ceo) and the development director since the president (ceo) is normally responsible for evaluating other employees within the organization. The executive committee completes written evaluations for the president (ceo) and the development director with input from the hr director. The hr director also provides information on comparative salaries for these positions in similar sized organizations with emphasis on senior housing operations. In addition, the chairman of the board of trustees personally reviews a database of irs form 990s to perform compensation comparisons for these positions with other similar organizations within the region. Annual compensation for both are determined based on the results of the performance evaluation and compensation comparison studies, as well as on the internal merit increase pool for all other ingleside staff.

Form 990, Part VI, Section C, Line 19

Inglside homes will be posting a notice on the organization's website informing visitors that these documents are available upon request.

Supplemental Narrative

Additional Explanations

FORM 990, PART XI, LINE 9:

Change in value of split-interest agreements 16,874.

FORM 990, PART XII, LINE 2C:

The organization's executive committee assumes responsibility for oversight of the audit.

PART XI LINE 8 PRIOR PERIOD ADJUSTMENT:

During the year ended december 31, 2014, the organization determined that its consolidated financial statements did not include a liability associated with its extended sick pay policy and, therefore, adjusted its consolidated financial statements for the retroactive effect of the restatement. The employee right to be paid under this policy is consistent with an accruable liability under accounting principles generally accepted in the united states of america in that 1) it relates to services already performed, 2) it vests or accumulates, 3) it is probable that it will be paid, and 4) the amount is reasonably estimable. The organization's extended sick leave policy provides for the accumulation of up to 520 hours of extended sick leave. An employee is eligible to receive a pay-out of a portion of their extended sick leave balance if the employee meets the following criteria (1) proper notice is given, (2) five full years of service has been completed, and (3) the employee has 160 hours in their extended leave bank. Employees receive a portion of their extended sick leave balances based on their length of service. The following is an analysis of the restatement: december 31, 2013 accrued wages and other liabilities: previously reported: $219,447 increase / (decrease) : $149,848 restated: $369,295 change in net assets: previously reported: $188,489 increase / (decrease) : $(6,358) restated: $182,131 unrestricted net assets: previously reported: $3,799,503 increase / (decrease) : $(149,848) restated : $3,649,655 net assets: previously reported: $5,582,588 increase / (decrease): $(149,848) restated: $5,432,740 december 31, 2012 net assets: previously reported: $5,394,099 increase / (decrease): $(143,490) restated: $5,250,609

Financial Statement Notes

PART IV, LINE 2B:

The organization charges the tenants of ingleside retirement apartments a security deposit. These funds are maintained in a separate account and are not available for the general operations of the project.

PART V, LINE 4:

The organization's endowment fund is a result of multiple gift instruments restricting the assets from the gifts to be held in perpetuity as a benevolence endowment to generate income to support current and future programs.

PART X, LINE 2:

Income not related to the organization's tax-exempt purpose may be subject to taxation as unrelated business income. Accounting principles generally accepted in the united states of america impose a threshold for determining when an income tax benefit can be recognized in regard to uncertain tax positions. The organization has determined that no liability for uncertain tax positions is required to be accrued and included in the statement of financial position as of december 31, 2014.

PART XI, LINE 2D - OTHER ADJUSTMENTS:

Special events expenses 22,401. Change in value of split-interest agreements 16,874.

PART XI, LINE 4B - OTHER ADJUSTMENTS:

BENEVOLENCE 67,451.

PART XII, LINE 2D - OTHER ADJUSTMENTS:

Special events expenses 22,401.

PART XII, LINE 4B - OTHER ADJUSTMENTS:

BENEVOLENCE 67,451.
