An independent accounting firm prepares and reviews the 990. The 990 is then provided to the cfo. Any questions and concerns the cfo has are addressed and any corrections or clarifications are made. The final form 990 with all required schedules is then provided to all voting members of the governing board prior to filing.

The directors and officers are required to annually sign a conflict of interest statement disclosing any potential or actual conflicts of interest. After disclosure and discussion with the interested person, the interested person leaves the meeting while the remaining board members discuss and vote on whether a conflict of interest exists. If a more advantageous transaction or arrangement is not reasonably possible, the disinterested directors shall determine by a majority vote whether the arrangement is in the best interest of the organization, and if so, whether to enter into the transaction or arrangement.

Executive compensation is handled with the assistance of established, reputable and independent third party compensation firms. Surveys are purchased and provide wage information to the vice president of human resources who works with the board of directors to establish executive pay and benefits. The national compensation firms conduct comprehensive wage studies which include executive level positions. This information is analyzed by the vice president of human resources and a recommendation is made to the chairperson of the board for use with the executive board, which serves as the compensation committee. The ceo base pay is determined by the board based on market data and executive performance. The ceo bonus is determined by the board based on hospital and ceo performance, in accordance with the guidelines outlined in the employment agreement.
