Governance Explanations

Form 990, Part VI, Section A, Line 4

The organization made the following changes to their bylaws during fiscal year 2015: directors shall be elected by a majority vote of a quorum of the board. Vacancies on the board shall be filled by a vote of a majority of a quorum of the board at a duly called meeting. A director who is appointed to fill a vacancy created by an event other than the expiration of a term shall serve for the remainder of his/her predecessor's term. In the event the board decides to increase the number of directors, any new directors required to fill such newly created positions shall be approved by a majority vote of a quorum of the board. A director who is elected to fill a vacancy due to an unexpired term or an increase in the number of directors shall be eligible to be elected to two (2) full terms, in addition to any partial year served as the result of filling a vacancy. A governance committee was created which shall (i) review the bylaws and board policies and procedures at least annually and recommend any changes to the board for approval; (ii) review board composition and skills, identify and vet potential board members, and recommend new members to the board; (iii) establish an orientation program for new board members; (iv) recommend board training topics and a schedule for such training; (v) plan for the succession of officers and recommend a slate of officers to be elected each year; (vi) coordinate an evaluation of the board's effectiveness at least every three (3) years; (vii) recommend issues for discussion at the annual board retreat; and (viii) provide for a review of the executive director's performance at least annually.

Form 990, Part VI, Section B, Line 12C

Any duality of interest or possible conflict of interest on the part of any eligible voting member shall be disclosed to other members of the board of directors. To this end, each voting member shall, upon election and annually thereafter, prepare and file with the secretary of the board of directors, a written declaration of interest and activities which create or might create a dual interest or conflict of interest (or the absence of any such interest or activity) on the part of the voting member. Such written declaration shall be reviewed by the chairperson. Such declaration shall be in the form as approved by the board of directors. Any voting member having a duality of interest or possible conflict of interest on any matter, shall neither vote nor use his/her personal influence on the matter.

The executive director's salary is determined by the board of directors, who do not have a conflict of interest. A wage comparability study, used to determine all employee salaries, is usually done every few years. This wage comparability study was last done in 2013. The wage decision is documented by the board of directors.

The organization is required to assess whether it is more likely than not that a tax position will be sustained upon examination on the technical merits of the position assuming the taxing authority has full knowledge of all information. If the tax position does not meet the more likely than not recognition threshold, the benefit of that position is not recognized in the financial statements. SERVICES ARE AVAILABLE IN BOTH ENGLISH AND SPANISH BY PHONE, ON-LINE AND IN PERSON. LOCALLY, OUR GOALS FOR CCR&R SERVICES ARE: (1) TO INCREASE THE QUALITY OF EARLY LEARNING PROGRAMS TO MEET FAMILIES' AND CHILDREN'S NEEDS AND (2) TO INCREASE THE NUMBER OF FAMILIES WHO BENEFIT FROM INFORMATION ABOUT EARLY EDUCATION PROGRAM CHOICES AND CHILD DEVELOPMENT ISSUES. CCR&R SERVICES ARE BASED ON THE THEORIES THAT: (1) CHILD CAREGIVERS WHO FOCUS ON PROFESSIONAL EDUCATION AND PROGRAM QUALITY IMPROVEMENT PROVIDE BETTER EDUCATIONAL EXPERIENCES FOR YOUNG CHILDREN; AND (2) FAMILIES WHO UNDERSTAND THE IMPORTANCE OF EARLY EDUCATION AND HOW TO RECOGNIZE QUALITY PROGRAMS MAKE BETTER CHOICES FOR THEIR CHILDREN.
