Mission

To empower people everywhere to create the change they want to see in the world. The Foundation does this through supporting initiatives to keep the Change.org platform open and supported in certain geographies, training individuals and NGOs in the use of online campaigning platforms, and researching the efficacy of campaigning methods, especially those that are internet-driven, around the world.

To increase the impact of campaigns on vitally important issues by dedicating resources and systematic support, like training and technology, to civic leaders and organizations who are behind those movements.

Governance Explanations

Form 990, Part VI, Line 11B: Form 990 Review Process

1. Preparation: The Foundations Finance Manager shall be responsible for the timely completion of the Foundations Form 990. He/she shall coordinate the selection of an external tax accountant to aide in the preparation of the Form and its necessary materials, with approval from the Board of Directors. Approval shall come in the form of a Board Resolution, passed by a majority of voting Directors.2. Distribution: Upon completing the preparation of the Form 990 for a given tax year the Finance Manager shall provide a copy of the final document to the following individuals:* Treasurer of the Board of Directors* Chairman of the Audit Committee* President of the Board of DirectorsAll other Directors shall be notified that copies are available for review and those who request a copy of the 990 shall be given one, but are not obligated to be supplied with a copy unless they request one.3. Review: The Finance Manager must arrange a meeting or allow for Q&A in some other format (as agreed to by the Form 990 recipients) that allows for the recipients of the Form 990 to ask questions about its content until they are satisfied with the final product and give their consent to move forward with filing it.4. Filing: The Form 990 shall be filed with the IRS (and applicable state and local agencies) in a timely manner

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

Annual DisclosuresOnce a year the Secretary (with assistance from the Assistant Secretary) will circulate a form to all Directors and Officers soliciting the disclosure of all conflicts of interest with the Foundation. This form will request specifics regarding any contracts or other agreements between the Foundation and the respective Directors and Officers and any other business entities in which they have an interest. Board ResolutionsPrior to all votes by the Board of Directors, all Directors must ensure that no conflict of interest exists for them as defined by the Corporate Bylaws. Should a conflict exist, the Director(s) affected must abstain from the vote. Prior to each meeting of the Board of Directors the Assistant Secretary will examine conflict of interest disclosures to identify potential mandatory abstentions. However, Directors are required to self-enforce their obligation to abstain from such votes and should not rely solely upon the Secretary and Assistant Secretary to dictate the decisions from which they should abstain.

During the year ended 12/31/2016, none of the officers and directors of the change.org charitable foundation received any benefit, directly or indirectly, from their involvement with the foundation.

Financial Statement Notes

Part X : FIN48 Footnote

ASC 740-10, Accounting for Uncertainty in Income Taxes - The preparation of financial statements in conformity with accounting principles generally accepted in the United States of America requires the Foundation to report information regarding its exposure to various tax positions taken by the Foundation. The Foundation has determined whether any tax positions have met the recognition threshold and have measured the Foundations exposure to those tax positions. Management believes that the Foundation has adequately addressed all relevant tax positions and that there are no unrecorded tax liabilities. Federal and state tax authorities generally have the right to examine and audit the previous three years of tax returns filed. Any interest or penalties assessed to the Foundation would be recorded in operating expenses. No interest or penalties from federal or state tax authorities were recorded in the accompanying financial statements.

IRS990/Desc0During the 2016 fiscal year, The Change.org Charitable Foundation engaged in one major project, aside from its standard entity launching activities, The Democracy in America Project. The Foundation received a $200,000 grant for the project, and spent a total of $237,293.98 on the project during the fiscal year.Activities for the Democracy in America project included encouragement of regular citizens to get involved within the political process regardless of their political affiliation, non-partisan training and support for citizen activists interested in learning in effective methods of online activism, voter education, and non-partisan drives among online communities to get out the vote.Additionally the project monitored various campaigns started on the Change.org platform to judge the efficacy of various tactics employed by the petition starters, with the goal of developing best practices for future trainings.

The Foundation has determined whether any tax positions have met the recognition threshold and have measured the Foundations exposure to those tax positions. Management believes that the Foundation has adequately addressed all relevant tax positions and that there are no unrecorded tax liabilities. Federal and state tax authorities generally have the right to examine and audit the previous three years of tax returns filed. Any interest or penalties assessed to the Foundation would be recorded in operating expenses. He/she shall coordinate the selection of an external tax accountant to aide in the preparation of the Form and its necessary materials, with approval from the Board of Directors. Approval shall come in the form of a Board Resolution, passed by a majority of voting Directors.2. Distribution: Upon completing the preparation of the Form 990 for a given tax year the Finance Manager shall provide a copy of the final document to the following individuals:* Treasurer of the Board of Directors* Chairman of the Audit Committee* President of the Board of DirectorsAll other Directors shall be notified that copies are available for review and those who request a copy of the 990 shall be given one, but are not obligated to be supplied with a copy unless they request one.3. Review: The Finance Manager must arrange a meeting or allow for Q&A in some other format (as agreed to by the Form 990 recipients) that allows for the recipients of the Form 990 to ask questions about its content until they are satisfied with the final product and give their consent to move forward with filing it.4. IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt1Annual DisclosuresOnce a year the Secretary (with assistance from the Assistant Secretary) will circulate a form to all Directors and Officers soliciting the disclosure of all conflicts of interest with the Foundation. This form will request specifics regarding any contracts or other agreements between the Foundation and the respective Directors and Officers and any other business entities in which they have an interest. Board ResolutionsPrior to all votes by the Board of Directors, all Directors must ensure that no conflict of interest exists for them as defined by the Corporate Bylaws. Should a conflict exist, the Director(s) affected must abstain from the vote. Prior to each meeting of the Board of Directors the Assistant Secretary will examine conflict of interest disclosures to identify potential mandatory abstentions. However, Directors are required to self-enforce their obligation to abstain from such votes and should not rely solely upon the Secretary and Assistant Secretary to dictate the decisions from which they should abstain.
