“Line 1a Explanation - (a)Executive Committee. An Executive Committee, which shall consist of at least three (3) Directors, one of whom shall be the Executive Director or one of the Co-Executive Directors, who shall also serve as chairperson of the Executive Committee. The other members of the Executive Committee shall be appointed by the Executive Director or Co-Executive Directors, subject to the approval of the Board. The Executive Committee shall have all the authority of the Board except as to the following matters: i.The filling of vacancies on the Board or on any committee; ii. The amendment or repeal of the By-Laws or the adoption of new By-Laws; iii.The amendment or repeal of any resolution of the Board which by its terms shall not be so amendable or repealable; and iv.The fixing of compensation of the Directors for serving on the Board or any committee”
“We do not have committees with authority to act on behalf of the governing body.”
“The form 990 was prepared by outside accountants. It was then reviewed by the President and Treasurer and distributed to the entire Board before filing with the IRS.”
“In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the Directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. 3.Procedures for Addressing the Conflict of Interest: a.An interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. b.The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. c.After exercising due diligence, the governing board or committee shall determine whether the Organization can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. d.If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested Directors whether the transaction or arrangement is in the Organization.”
“No other documents available to the public.”
“The Organization is tax-exempt under Section 501(c)(3) of the Internal Revenue Code ("IRC"). However, income from certain activities not directly related to the Organization's tax exempt purpose is subject to taxation as unrelated business income. FASB ASC 740, Income Taxes, requires entities to disclose in their financial statements the nature of any uncertainty in their tax positions. For tax-exempt entities, tax-exempt status itself is deemed to be an uncertainty, as events could potentially occur to jeopardize their tax-exempt status. Management believes the Organization has no uncertain tax positions. The Organization is no longer subject to examination by taxing authorities for the years before the year ended December 31, 2019.”

| IRS990/ProgSrvcAccomActy2Grp/Desc | 0 | Rural Organizing:Rural organizing continues to be a major area of work as we engage with our communities on a broad range of issues. In addition to our Renews issue areas, we worked heavily on education justice, economic justice, and healthcare justice in 2022. Education Justice: In partnership with our affiliate, Race Forward, we organized in VT and NH for HEAL Together (Honest Education Action & Leadership), a national initiative to organize at the school district level to unite communities in the face of the culture wars exploding across the country. We held virtual and in person events to raise awareness of the school board, school budgets, and the issue of police in schools. Economic Justice: We organized restaurant workers who support ending the sub-minimum wage in favor of a living wage for all.Healthcare Justice: Our healthcare work included a story collection campaign to raise awareness of barriers to healthcare access, as well as a campaign to fight insurance company denials of critical medical care and medications. We also organized in support of harm reduction solutions to the overdose crisis in both states. |

| IRS990/ProgSrvcAccomActy3Grp/Desc | 0 | Jobs Justice Climate (JJC):In 2022, we coordinated the Vermont Renews Coalition and New Hampshire Renews Coalition, both statewide coalitions for which RDI serves as the anchor organization. The state coalitions are constituents of the regional coalition Renew New England. Our JJC work continued to address the intersecting racial, environmental and economic crises we are confronting. RDI continued to engage and organize around our JJC priority issue areas - climate justice, environmental justice, and housing justice.Climate Justice: We supported and coordinated a campaign to close the Bow power plant, the last coal-fired plant in New England, conducted outreach and held public education events about the Civilian Climate Corps bill and the PUC bill (requiring PUC to consider climate change impacts when setting fees and rates), and helped to support and coordinate six climate strikes throughout NH.Environmental Justice: We organized a series of events in four environmental justice communities in Vermont to provide opportunities for community members to share their experiences related to environmental justice issues, including housing, transportation, and more.Housing justice: Our tenant organizing work has continued to flourish. We have held regular tenant meetings, know-your-rights trainings, and Housing for All public events. We organized in support of the Burlington Just Cause Eviction Charter Change. |

| IRS990/ProgSrvcAccomActyOtherGrp/Desc | 1 | Leadership Development:While leadership development is integrated into all of RDI's areas of work, in 2021, we launched two cohort-based training programs.Catalyst Leadership was created to develop and support emerging leaders from the most impacted communities across New Hampshire and Vermont, who are committed to a bold agenda for equity and justice. Its flagship year had two cohorts: a bistate cohort and a placed-based cohort in southern Vermont. Grassroots Leadership Academy is an educational initiative to support the development of a new generation of community organizers interested in growing their skills to advance human rights. Race-Class Academy RDI launched an ongoing guided course to acquaint participants with race-class messaging as an organizing strategy. We held a condensed training in February with 63 attendees and a four-part series in May averaging 50 participants per session. |

| IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt | 0 | The Organization is tax-exempt under Section 501(c)(3) of the Internal Revenue Code ("IRC"). The Organization is no longer subject to examination by taxing authorities for the years before the year ended December 31, 2019. |
