Among the significant changes were: Creation of a sole member. o The new bylaws define the sole member as Audra Colson, current CEO/Founder. o The new bylaws define corporate actions that require approval of the sole member, including changes to directors and officers; amendments to articles of incorporation; amendments to the bylaws; and merger, consolidation, or dissolution of the corporation. The new bylaws address compensation of the Board of Directors, whereas the old bylaws did not. Specifically, Directors of the Corporation shall not receive compensation for serving as Directors, but may receive reasonable compensation for other personal services rendered which are necessary to carrying out the exempt purposes of the Corporation.
