Form 990 governing body review Part VI line 11

BMA Board of Directors is provided with a copy of the annual IRS Form 990 for their review prior to filing. A record of the review by the Board members is made in the minutes of the following meeting.

Conflict of interest policy compliance Part VI line 12C

BMA Board Members sign a statement on an annual basis that states they have received the conflict of interest policy, understand the policy and agree to comply with the policy. Board Members must also disclose any actual or possible conflicts of interest on an ongoing basis.If a possible conflict of interest arises, that person shall leave the meeting while the remaining Board Members decide if a conflict of interest exists.

In determining appropriate compensation for the President and CEO, the Board of Directors reviewed comparability data of similar nonprofit organizaitons. A compensation survey was used to identify the compensation percentiles for the comparable nonprofits. The President and CEOs credentials were evaluated to determine the appropriate compensation based on the salary survey of comparable nonprofits.

Range for compensation of other employees is set in job descriptions based on comparable positions at comparable organizations. Anticipated compensation is included in the annual budget which is prepared by staff and approved by the Board of Directors.

Form 990 availability to public Part VI line 18

The Better Medicare Alliance will honor requests for copies of its Forms 1024 and 990. In-person requests for copies will be honored immediately and without charge (if BMA has photocopying equipment at the place of inspection). Written requests will be honored within thirty days. For written requests, BMA may charge a reasonable fee for copying plus actual postage, but, if so, BMA will provide timely notice of the approximate cost within 7 days of receiving the request.

Financial Statement Notes

Footnote for uncertain tax position under FIN 48 (Part X)

The accounting standard on accounting for uncertainty in income taxes addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements as uncertain tax positions. Under that guidance, BMA may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by taxing authorities based on the technical merits of the position. Examples of tax positions include the tax-exempt status of BMA and various positions related to the potential sources of unrelated business income tax (UBIT). The tax benefits recognized in the financial statements from such a position are measured based on the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlement. There were no unrecognized tax benefits related to uncertain tax positions identified or recorded as liabilities for the current year.BMAs policy would be to recognize interest and penalties, if any, on tax positions related to its unrecognized tax benefits in income tax expense in the financial statements. No interest and penalties were assessed or recorded during the year.

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0The accounting standard on accounting for uncertainty in income taxes addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements as uncertain tax positions. Under that guidance, BMA may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by taxing authorities based on the technical merits of the position. Examples of tax positions include the tax-exempt status of BMA and various positions related to the potential sources of unrelated business income tax (UBIT). The tax benefits recognized in the financial statements from such a position are measured based on the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlement. There were no unrecognized tax benefits related to uncertain tax positions identified or recorded as liabilities for the current year.BMAs policy would be to recognize interest and penalties, if any, on tax positions related to its unrecognized tax benefits in income tax expense in the financial statements. No interest and penalties were assessed or recorded during the year.
