BMAs Form 990 is reviewed by BMAs president & CEO and outside legal counsel, and a copy of the 990 is provided to BMAs Operations Committee for their review prior to filing.

Conflict of interest policy compliance Part VI line 12C

BMA Board Members sign a statement on an annual basis that states they have received the conflict of interest policy, understand the policy and agree to comply with the policy. Board Members must also disclose any actual or possible conflicts of interest on an ongoing basis.If a possible conflict of interest arises, that person shall leave the meeting while the remaining Board Members decide if a conflict of interest exists.

In determining appropriate compensation for the President and CEO, the Board of Directors reviewed comparability data of similar nonprofit organizations. A compensation survey was used to identify the compensation percentiles for the comparable nonprofits. The President and CEOs credentials were evaluated to determine the appropriate compensation based on the salary survey of comparable nonprofits.The Operations Committee evaluates the performance of, and sets the compensation for, the President and CEO on an annual basis, pursuant to the terms of an employment agreement and consistent with the comparability data described below.

Range for compensation of other employees is set in job descriptions based on comparable positions at comparable organizations. Anticipated compensation is included in the annual budget which is prepared by staff and approved by the Operations Committee.

Form 990 availability to public Part VI line 18

The Better Medicare Alliance will honor requests for copies of its Forms 1024 and 990. In-person requests for copies will be honored immediately and without charge (if BMA has photocopying equipment at the place of inspection). Written requests will be honored within thirty days. For written requests, BMA may charge a reasonable fee for copying plus actual postage, but, if so, BMA will provide timely notice of the approximate cost within 7 days of receiving the request.

Initial copies of these documents are available as attachments to the Form 1024 of the Better Medicare Alliance. The organization provides copies of all documents required by applicable law.

BMAs Bylaws delegate certain governing authority to a designated body under applicable law (the Operations Committee), including the authority to review and approve budgets, financial statements, tax returns, expenditures, and executive performance and compensation. Certain organizations appoint representatives to the Operations Committee, which consists of three individuals, not all of whom serve on BMAs board of directors.

Part X, Line 2-Text in footnote regarding FIN 48 (ASC 740)

The accounting standard on accounting for uncertainty in income taxes addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the consolidated financial statements. Under that guidance, the Alliance may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by taxing authorities based on the technical merits of the position. Examples of tax positions include the tax-exempt status of the Alliance and various positions related to the potential sources of unrelated business taxable income (UBIT). The tax benefits recognized in the consolidated financial statements from such a position are measured based on the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlement. There were no unrecognized tax benefits identified or recorded as liabilities for at year end.The Alliances policy would be to recognize interest and penalties, if any, on tax positions related to its unrecognized tax benefits in income tax expense in the consolidated financial statements. No interest and penalties were assessed or recorded during the year.

Under that guidance, the Alliance may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by taxing authorities based on the technical merits of the position. Examples of tax positions include the tax-exempt status of the Alliance and various positions related to the potential sources of unrelated business taxable income (UBIT). The tax benefits recognized in the consolidated financial statements from such a position are measured based on the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlement. There were no unrecognized tax benefits identified or recorded as liabilities for at year end.The Alliances policy would be to recognize interest and penalties, if any, on tax positions related to its unrecognized tax benefits in income tax expense in the consolidated financial statements. No interest and penalties were assessed or recorded during the year.
