Governance Explanations

Form 990, Part VI, Section A, Line 2

Harriet anderson langford and phil langford are married.

Form 990, Part VI, Section A, Line 3

The executive director is paid as a contractor.

Form 990, Part VI, Section B, Line 11B

A draft of the form 990 is distributed to all board members ahead of a scheduled meeting. During the subsequent board meeting, any questions are addressed during group discussion, and the board may entertain a vote to approve the form 990 for returning to the irs.

Form 990, Part VI, Section B, Line 12C

To ensure that the ray operates in a manner consistent with its status as an organization exempt from federal income tax, the board of directors oversees an annual review of the administration of its conflict of interest policy. The review may be written or oral. The review shall consider the level of compliance with the policy, the continuing suitability of the policy, and whether the policy should be modified and improved.

Form 990, Part VI, Section B, Line 15

Determining compensation for the executive director is the responsibility of the board and at its discretion, and is reviewed annually by the board of directors. Determining compensation for other officers and key employees occurs during the budgeting process, which is led by the executive director. The organization's annual budget is presented to board members in q4 for discussion, amendment and approval. The board uses independent information and refers to compensation studies when setting the compensation for the executive director. The executive director also relies on independent information and compensation studies when setting compensation as part of the annual budgeting process.

PART X, LINE 2:

Under section 501(c)(3) of the internal revenue code, the foundation is exempt from taxes on income other than unrelated business income. The foundation considers all of its activities to be directly related to its exempt purpose in 2024. There was no unrelated business income for the year ended december 31, 2024. The foundation utilizes the accounting requirements associated with uncertainty in income taxes using the provisions of financial accounting standards board (fasb) asc 740, income taxes. Using that guidance, tax positions initially need to be recognized in the financial statements when it is more-likely-than-not the positions will be sustained upon examination by the tax authorities. It also provides guidance for derecognition, classification interest and penalties, accounting in interim periods, disclosure and transition. As of december 31, 2024, the foundation has no uncertain tax provisions that qualify for recognition or disclosure in the financial statements.
