“The members of the Executive Committee will consist of the Chairman, who shall serve as Chairman of the Executive Committee and preside at all meetings of the Executive Committee, and at least two other individuals appointed by the Board. A majority of the persons serving on the Executive Committee must be Directors. If any vacancy or vacancies occur in the Executive Committee, such vacancy or vacancies shall be filled by the Board. The Executive Committee shall have and may exercise the authority of the Board in the management of the business and affairs of the Corporation, except where action of the Board is required by statute or by the Certificate of Formation, as it may be amended. The Executive Committee shall keep regular minutes of its proceedings and report the same to the Board when required.”

“Alamo Trust, Inc., a Texas nonprofit corporation, is the sole member of Remember the Alamo Foundation.”

“Election of officers shall be individuals nominated and elected by the sole member, Alamo Trust, Inc. Resignations are effective upon receipt by the sole member of written notification or at a later date if provided in the written notification.”

“Form 990 is sent to the organization's board of directors for approval before filing.”

“THE ORGANIZATION ACTIVELY MONITORS AND UPDATES ITS CONFLICT OF INTEREST DOCUMENTATION. If a conflict arises, the individual abstains from voting and is not involved with the decision making regarding the transaction.”

“The organization's governing documents are available for public inspection upon request or on guidestar.org”

“Remember the Alamo Foundation has changed its accounting year end from June 30 to August 31. Revenue Procedure 85-58 rules apply. The organization is filing a short year return to report the activity from 7/1/2022 to 8/31/2022.”
