Form 990 governing body review Part VI line 11

The Organizations executive committee will review the draft of the Form 990 on behalf of the entire board. Following the committees review, the return will be presented to the entire board for discussion before it is signed and submitted to the IRS.

Conflict of interest policy compliance Part VI line 12C

The Conflict of Interest Policy applies to all Board Members, committee members, senior advisors, key employees, and, at the discretion of the President/CEO, other employees, volunteers and persons doing work on behalf of Valeries House (e.g., consultants, fiduciaries, outside contractors and members of their firms) (herein referred to as VH Associates) holding positions of responsibility and trust on behalf of Valeries House. This Policy shall be provided to each VH Associate at the time that he or she is asked to serve Valeries House, and is signed annually by all VH interested parties with any updates and or changes that have occurred in the previous year.

The Board of Directors formed a compensation committee of four board members to determine the CEOs annual salary by using a comparable salary survey. The committee conferred and recommended the salary and benefits of the CEO to the full board. The disinterested directors on the Board of Directors approved the total compensation based on the comparability data. The Board will conduct an annual performance review of the CEO and this review will play a key role in the determination of the CEOs compensation package, including any changes. The Board considers and approves an operating budget each year, with a line item for payroll and benefits equal to a set amount. This amount includes the CEOs compensation package, which is set by the Board. The CEO cant determine her compensation.

In addition, the Organization is not a privatefoundation within the meaning of Section 509(a) of the Internal Revenue Code.The Internal Revenue Code provides for taxation of unrelated business income undercertain circumstances. Management believes the Organization met the requirementsto maintain its tax-exempt status and has no income subject to unrelated businessincome tax. The Organizations income tax returns for the past three years are openand subject to examination by tax authorities, and may change upon examination. The Organization reports no unrelated business taxable income; however, such statusis subject to final determination upon examination of the related tax returns by theappropriate taxing authorities.

The committee conferred and recommended the salary and benefits of the CEO to the full board. The disinterested directors on the Board of Directors approved the total compensation based on the comparability data. The Board will conduct an annual performance review of the CEO and this review will play a key role in the determination of the CEOs compensation package, including any changes. The Board considers and approves an operating budget each year, with a line item for payroll and benefits equal to a set amount. This amount includes the CEOs compensation package, which is set by the Board. The CEO cant determine her compensation.
