Before the form 990 was filed with the irs the organization called a board meeting and reviewed the draft form 990. Copies of the draft form 990, including schedule b, were provided to all board members.

Form 990, Part VI, Section B, Line 12C

Promptly upon learning of a transaction, each board member, including a member who is newly elected, appointed or hired, discloses to the board [or a committee of the board] making a determination in relation to that transaction all material facts regarding his or her potential interest in the transaction. Disclosure of all material facts are made by insiders in relation to a project or vendor at the time of initial evaluation or selection of a project or the selection of a vendor to the board [or a committee of the board], as the case might be. The board [or a committee of the board] determines if a conflict of interest exists in relation to one or more insiders. Insider(s) and any other interested person(s) involved in the transaction are not present during the discussion or determination, by the board [or the committee of the board], of whether a conflict of interest exists. The board [or a committee of the board] then decides what measures are needed to protect the organization's interests in light of the nature and seriousness of the conflict, to decide whether to enter into the transaction and, if so, to ensure that the terms of the transaction are reasonable and appropriate. Each director, corporate officer, top management official, top financial official and each key employee of the organization, signs a statement annually by the end of january of that year. The signed statement affirms that the person (a) has received a copy of the coi policy; (b) has read, understood and agreed to comply with the policy; and (c) has disclosed his or her financial interests and family relationships that could give rise to conflicts of interest. If the board or a committee of the board has reasonable cause to believe that an insider of the organization has failed to disclose real or apparent conflicts of interest, including those arising from a transaction with a related interested person, it informs such insider of the basis for this belief and affords the insider an opportunity to explain the alleged failure to disclose. If, after hearing the insider's response and making further investigation as warranted by the circumstances, the board or a committee of the board determines that the insider has failed to disclose an actual or possible conflict of interest, the board or a committee of the board takes appropriate disciplinary and corrective action up to and including termination.

FIRST, ADDRESSING THE MOVEMENT OF COMMERCIAL SEXUAL EXPLOITATION FROM PUBLIC SPACES TO PRIVATE/HIDDEN LOCATIONS, OFTEN MADE POSSIBLE BY WEB- AND MOBILE-BASED SOLICITATION, THAT IS "ONLINE ENABLED, AND SECOND, FULLY TRANSFERRING CUTTING EDGE INVESTIGATIVE TECHNIQUES AND VICTIM-FRIENDLY JUSTICE MODELS TO LOCAL ACTORS, WHERE GOVERNMENTS FUND THE INSTITUTIONAL UPGRADING AND ONGOING TRAINING REQUIRED. WE ARE WORKING WITH PARTNERS IN VIETNAM AND INDIA TO ADDRESS BOTH OF THESE HURDLES, AS WELL AS TO ENHANCE THE EFFECTIVENESS AND SUSTAINABILITY OF SYSTEMS OF SURVIVOR CARE SO THAT THE NEEDS OF SURVIVORS ARE CONSISTENTLY MET, ALL THE WAY THROUGH TO SELF-SUSTAINABILITY VIA MARKET-DRIVEN JOBS.

GFEMS IS BUILDING A PUBLIC-PRIVATE CONSORTIUM TO CREATE A SCALABLE, SUSTAINABLE, AND SAFE ALTERNATIVE TO THE EXISTING BROKER SYSTEM THAT PROMOTES THE SKILL DEVELOPMENT AND SAFE MIGRATION OF MIGRANT CONSTRUCTION WORKERS ACROSS INDIA. AN ESTIMATED 500,000 WORKERS FROM VIETNAM ARE DEPLOYED OVERSEAS. FORCED LABOR RATES ARE UNKNOWN BUT EXPECTED TO BE HIGH, ESPECIALLY AMONG LOW-SKILLED VIETNAMESE MIGRANTS. UNETHICAL RECRUITMENT PRACTICES ARE WIDESPREAD BUT WE BELIEVE PRIVATE-SECTOR PRESSURE CAN MOTIVATE NECESSARY REFORMS. A KEY COMPONENT OF THIS PROGRAM HARNESSES MARKET DEMAND FOR ETHICAL PRACTICES FROM SOME OF THE WORLD'S MOST RECOGNIZABLE BRANDS. IN LINE WITH OUR STRATEGY, THIS PROGRAM ALSO INCLUDES A GOVERNMENT ENGAGEMENT COMPONENT TO INCREASE THE LIKELIHOOD OF SUSTAINABILITY.
