Mission and Program Overview

Mission

The windward fund seeks to build a more impactful environmental movement by connecting people across diverse geographies, sectors, and communities, enabling them to share expertise and resources, and providing a vehicle for effective, community-based, grassroots grant making that elevates the voices of those most impacted by environmental degradation.

The windward fund advances public awareness about conservation, climate and environmental issues, sustainable food systems, and the protection of land, wildlife, and other natural resources. As a 501(c)(3) public charity, windward hosts public awareness campaigns and grant-making projects that address conservation from a range of angles. Windward also provides a platform for donors to convene and collaborate on these issues, leveraging the work of other conservation projects housed at the fund to strengthen their efforts and advance the field. The fund is managed by specialists experienced in conservation and environmental issues who provide strategic support, guidance on best practices, and operational and administrative expertise to hosted projects.

Arabella advisors is a management, strategy and evaluation firm serving family, institutional, and corporate philanthropists across the country and around the world. Arabella serves as the management company for windward under an administrative agreement between the two. In that capacity, arabella provides business development services for windward, sources new projects, and maintains donor relationships; processes, manages, and tracks all contracts and agreements; provides financial management for windward and its fiscally sponsored projects; performs all grant due diligence and grants management for incoming and outgoing grants; supplies the systems and staff to ensure compliance with federal, state and local regulations related to charitable solicitation, lobbying, sales and use tax, and other business registrations; supports the board, and other governance functions; manages human resources, including recruiting, hiring, payroll and benefits management; and provides and maintains all of the technology and infrastructure platforms for the organization. In addition to these standard management company services, arabella provides additional services including strategic advice, leadership support, public relations, evaluation and measuring impact, impact investing support, and sharing best practices and expertise, thereby enabling windward to better further its mission and achieve impact.

All board members are required to disclose conflicts of interest. The policy is monitored at the board level. Covered individuals cannot vote on matters before the board when they have a conflict in the matter. Disinterested members must determine whether or not there are any suitable alternatives to potential transactions that cause conflict. If a covered person is found in violation of this policy it may be cause for removal from the board of directors.

FORM 990, PART V, LINE 2:

New venture fund (nvf) was the paymaster for windward through february of 2017 for payroll. Nvf paid the salary and immediately invoiced windward, which pays the full amount back. After this time, windward administered its own payroll.

The board commenced its oversight of the audit and selection of an independent auditor in accordance with the windward fund's governance documents.

Financial Statement Notes

PART X, LINE 2:

The fund is generally exempt from federal income taxes under the provisions of section 501(c)(3) of the internal revenue code (the code). In addition, the fund qualifies for charitable contributions deductions and has been classified as an organization that is not a private foundation. Income which is not related to exempt purposes, less applicable deductions, is subject to federal and state income taxes. There was no tax liability for unrelated business income for the year ended december 31, 2016 or period from february 25, 2015 (inception), to december 31, 2015. Accordingly, no provision for income taxes has been made in the accompanying financial statements. The fund's tax returns are subject to review and examination by federal and state authorities. The fund is not aware of any activities that would jeopardize its tax-exempt status. Because the fund was formed during 2015, that year is the only tax year open for examination by u.s. Federal, state or local tax authorities.
