“The organization delegates the majority of operations secretariat duties to the management company, vital technical marketing, inc. Including but not limited to administration of the majority of meetings, assistance with membership duties and all financial duties.”

“A.membership is broken out into 5 classes (adopter members, contributor members, institutional members, sponsor members, and founding sponsor members). B.founding sponsor members (annual dues - 50,000 usd) are defined as having been one of the initial companies that founded and defined the alliance with the intent of becoming a sponsor member; and has the rights and privileges defined in these bylaws. Founding sponsor members shall have a seat on the board of directors in perpetuity so long as such founding sponsor member remains in good standing. C.sponsor members (annual dues - 50,000 usd) have voting rights in committees, with the ability to designate one (1) director to serve on the board of directors (to the extent permitted under section 6.2) and with the privileges defined in section 4.3 of the bylaws including, but not limited to: certify compliant products of the alliance, participate in member meetings, and contribute to deliverables. D.institutional members (annual dues - 0 usd) are members who are designated as either a nonprofit organization, an institution of higher learning, or university with the privileges defined in these bylaws. Institutional members have rights as outlined in section 4.6 of the alliance bylaws, including but not limited to: participate in committees, contribute to deliverables, and attend member meetings. E.contributor members (annual dues - 20,000 usd) are members with voting rights within committees and have rights as outlined in section 4.5 of the alliance bylaws, including but not limited to: certifying compliant products, contribute to deliverables, and attend member meetings. F.adopter members (annual dues - 3,000 usd) are members without voting rights within committees and have rights as outlined in section 4.7 of the alliance bylaws, including but not limited to: certify compliant products and attend member meetings.”

“Founding sponsor and sponsor members.”

“As stated in section 5.3 of the alliance bylaws: "sponsor members shall have the sole right to vote on any decision that is reserved to "members" within the meaning of the delaware general corporation law and on those additional decisions that may be authorized to be submitted to a vote of the members by the board of directors in accordance with these bylaws. Each sponsor member shall have one (1) vote for each matter submitted to a vote by the sponsor members. A majority of the sponsor members shall constitute a quorum. Unless otherwise required by applicable law, every act or decision done or made by a majority of sponsor members present at a properly noticed meeting of sponsor members shall be the act of the sponsor members. In lieu of a special meeting, sponsor members may take action by written consent."”

“A.the 990 tax form is provided to the alliance officers for their review and approval.”

“The organization makes its governing documents and financial statements available to the public upon writeen request.”

“The lora alliance is an open, non-profit association of members that believes the internet of things era is now. It was initiated by industry leaders with a mission to standardize low power wide area networks (lpwan) being deployed around the world to enable internet of things (iot), machine-to-machine (m2m), and smart city, and industrial applications. The alliance members will collaborate to drive the global success of the lora protocol (lorawan), by sharing knowledge and experience to guarantee interoperability between operators in one open global standard.”
