Governance Explanations

Form 990, Part VI, Section A, Line 8B

There are currently no committees. The current board oversees all areas of the organization.

Form 990, Part VI, Section B, Line 11B

Icca foundation has its form 990 prepared by an outside accounting firm. Once the form is prepared, it is forwarded to permanent court of arbitration (pca), which provides administrative services to icca foundation, for review. Once any questions or concerns are addressed, pca then forwards the return to the full board by email for their review before filing with the irs.

Form 990, Part VI, Section B, Line 12C

Icca foundation has a written conflict of interest policy that applies to the board of directors. The board of directors is responsible for ensuring the compliance of the conflict of interest policy. The board mandates that all members of the board of directors sign a conflict of interest policy and disclose any potential or actual conflict of interest that may exist annually and submit the statements to the secretary of icca. The secretary of icca will provide a copy of all completed statements to the chair of the board/president. After disclosure of potential conflict of interest, the individual in question must recuse themselves from voting on the matter. The board of directors will determine and vote on the matter. Such matters involving the existence of conflicts of interest are to be documented in the minutes of the governing board.

Form 990, Part VI, Section B, Line 15

No payment is made to any officers, and icca foundation, inc. Does not have any employees.

Form 990, Part VI, Section C, Line 19

The organization makes its form 990 available for public inspection as required under section 6104 of the internal revenue code. The return is posted on guidestar.org and other similar types of websites. In addition, the financial statements, conflict of interest policy, form 990, form 1023, and by-laws are also available upon written request.
