Amendments to the organization's governing documents includes the following: - the organization changed its legal name from halcyon hopsice to hcyn, inc. - exempt purpose clause was updated to reflect the organization's current operations. The exempt purpose of furnishing and promoting hospice and palliative care for the benefit of the community it serves, and advocating for positive developments in hospice care in the legislature was removed. - the organization changed its membership from having voting members to no voting members.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is reviewed annually by the board of directors. Each member of the board of directors and senior management is asked to complete an independence questionnaire to disclose annually any business ventures, ownership interests or services that could create a conflict of interest. The existence of any potential conflict of interest shall be disclosed to board of directors, who shall determine whether a conflict of interest exists. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. In the event a conflict of interest does exists, an interested person may make a presentation to the governing board or committee, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the conflict of interest. The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the governing board or committee shall determine whether the organization can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the organization's best interest, for its own benefit, and whether it is fair and reasonable. In conforming with the above determination, it shall make its decision as to whether to enter into the transaction or arrangement.

Form 990, Part III, Line 3

As a result of financial decline arising from circumstances associated with the covid-19 pandemic, hcyn, inc. Terminated its affiliation agreement with care synergy effective july 31, 2020 and officially ceased operations on august 5, 2020. Prior to termination of the affiliation agreement, hcyn, inc. Sold substantially all its assets to colorado visit nurse association, another affiliate tax-exempt organization in the care synergy network. The organization was officially dissolved on july 1, 2021 upon filing the articles of dissolution with the colorado secretary of state. For the remaining months following the dissolution, the organization continued its process of winding down and closing the organization.

PATIENTS INCLUDE THOSE WHO QUALIFY FOR MEDICARE AND MEDICAID AND OTHER VARIOUS INSURANCE PROGRAMS, AS WELL AS THOSE WHO ARE UNDERINSURED AND UNINSURED, VETERANS AND CHILDREN. HALCYON HOSPICE ALSO RUNS A PALLIATIVE CARE PROGRAM, WHICH COORDINATES CARE AND SERVICES FOR PEOPLE COPING WITH CHRONIC ILLNESS AND ASSISTS INDIVIDUALS DURING THE TIMES OF TRANSITION THROUGH AN INTEGRATED PERSONALIZED CARE PLAN AND 24-7 SUPPORT. THIS TYPE OF PALLIATIVE CARE IS AVAILABLE BEFORE A PATIENT IS ELIGIBLE FOR HOSPICE CARE. PALLIATIVE CARE (1) RELIEVES PAIN AND OTHER SYMPTOMS, (2) INCREASES COMFORT FOR PATIENTS AND MAY INCLUDE CURATIVE MEASURES, AND (3) PROVIDES PRACTICAL ASSISTANCE FOR PATIENTS AND CAREGIVERS AT HOME.AS A RESULT OF FINANCIAL DECLINE ARISING FROM CIRCUMSTANCES ASSOCIATED WITH THE COVID-19 PANDEMIC, HYNC.
