Governance Explanations

Form 990, Part VI, Section A, Line 6

The organization has both voting and non voting membership classes in accordance with the organization's bylaws.

Form 990, Part VI, Section A, Line 7A

The voting members shall elect the director positions to be filled at the annual meeting of the members.

Form 990, Part VI, Section A, Line 8B

The organization did not have any committees with broad authority to act on behalf of the governing body.

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared collaboratively with an outside accounting firm and reviewed by the finance director for any errors or omissions prior to review and signature of the organization's president. The return is available upon request to any board member who wishes to review.

Form 990, Part VI, Section B, Line 12C

The organization's conflict of interest policy covers directors, principal officers, and members of committees with board delegated powers. In connection with any actual or possible conflicts of interest, individuals covered by the policy must disclose all material facts to the remaining board or committee members. At each board meeting the members are reminded of the conflict of interest policy in place to address potential conflicts. The remaining board or committee members will determine if a conflict of interest exists. The individual disclosing will leave the room during the subsequent discussion and vote. All proceedings are documented in the meeting minutes or as otherwise appropriate.

Form 990, Part VI, Section B, Line 15

The compensation for the president/ceo is reviewed and approved by the compensation committee that is composed of independent members. The committee reviewed the president/ceo performance and documented the final compensation package with an employment contract in 2016.

Form 990, Part VI, Section C, Line 19

The organization does not make its governing documents, conflict of interest policy, or financial statements available to the public.
