Any director, principal officer, or member of a committee with governing board delegated powers, who has a direct or indirect financial interest, must disclose the existence of the actual or possible financial interest immediately upon discovery. Procedures for addressing the conflict are documented in the minutes. The minutes shall contain: (a) the names of the persons who disclosed or otherwise were found to have a financial interest in connection with an actual or possible conflict of interest, the nature of the financial interest, any action taken to determine whether a conflict of interest was present, and the decision as to whether a conflict of interest in fact existed; and (b) the names of the persons who were present for discussions and votes relating to the transaction or arrangement, the content of the discussion, including any alternatives to the proposed transaction or arrangement, and a record of any votes taken in connection with the proceedings. The conflict of interest policy is reviewed annually with all interested persons.

The ceo's compensation is reviewed and approved by the board of directors. The process includes approval by persons without a conflict of interest, use of comparability data, and recording compensation deliberations. Relevant information may include, but is not limited to, compensation levels paid by similarly situated organizations for functionally comparable positions, the availability of similar services in the geographic area of the organization, current compensation surveys compiled by independent firms, and actual written offers from similar institutions competing for the services of the compensated person. The organization has been recognized by the internal revenue service as a tax-exempt organization under section 501(c)(4) of the internal revenue code. Income earned in furtherance of the organization's tax-exempt purpose is exempt from federal and state income taxes. The organization is treated as a publically supported organization, and not as a private foundation. The organization has adopted the provisions of asc topic 740, relating to accounting for uncertainty in income taxes, and does not believe it has any material income tax exposure relating to uncertain tax positions. IN 2018 WE COORDINATED WITH CHAMBERS OF COMMERCE AND MUNICIPAL ASSOCIATIONS TO FIGHT A RELIGIOUS PREEMPTION BILL FILED IN THE STATE HOUSE THAT WOULD HAVE GIVEN BUSINESSES AN UNFETTERED LICENSE TO DISCRIMINATE EVEN IN LOCALITIES HAVING NONDISCRIMINATION ORDINANCES IN PLACE. WE ENGAGED CITIZENS FROM ACROSS THE STATE TO JOIN US IN TALLAHASSEE FOR OUR ANNUAL LOBBY DAYS, WHERE THESE GRASSROOTS ACTIVISTS MET WITH ELECTED LEADERS FROM BOTH CHAMBERS AND BOTH MAJOR POLITICAL PARTIES. AFTER NEARLY 80 SUCH LEGISLATIVE MEETINGS, THE BILL FAILED TO BE HEARD IN COMMITTEE. (CONTINUED ON SCHEDULE O)WE CONTINUED TO BUILD BIPARTISAN LEGISLATIVE SUPPORT FOR A STATEWIDE UNIFORM NONDISCRIMINATION POLICY THAT INCLUDES PROTECTIONS FOR LGBT FLORIDIANS. THIS LEGISLATION WAS THE THIRD-MOST CO-SPONSORED BILL IN THE FLORIDA LEGISLATURE WITH NEARLY 60% OF FRESHMEN LEGISLATORS AND 45% OF ALL LEGISLATORS SIGNING ON, INCLUDING 17 REPUBLICANS, EARNING IT MORE REPUBLICAN SUPPORT THAN ANY OTHER SUCH LEGISLATION FILED IN THE NATION. WE LOBBIED TO EXPAND EXISTING HATE CRIME STATUTES TO INCLUDE GENDER OR GENDER IDENTITY, SECURING A HEARING IN THE SENATE CRIMINAL JUSTICE COMMITTEE, WHICH PASSED THE BILL.WE SECURED BIPARTISAN SPONSORSHIP FOR HIV MODERNIZATION LEGISLATION WITH A REPUBLICAN LEAD SPONSOR IN THE SENATE. DURING LOBBY DAYS, A TEAM OF HIV ADVOCATES MET WITH LEGISLATORS AND THEIR STAFFS OVER TWO DAYS OF STRATEGIC MEETINGS, RESULTING IN 4 MORE CO-SPONSORS. THROUGH LOBBYING, SUPPORTER MOBILIZATION, PRESS ENGAGEMENT AND PUBLIC TESTIMONY, WE WORKED WITHIN OUR REPRODUCTIVE JUSTICE COALITION TO REMOVE PROPOSED AMENDMENTS TO THE FLORIDA CONSTITUTION FROM THE BALLOT. THESE PROPOSED AMENDMENTS WOULD HAVE EVISCERATED THE CONSTITUTION'S BROAD RIGHT TO PRIVACY, OPENING THE DOOR TO RESTRICT A WOMAN'S ACCESS TO SAFE AND LEGAL ABORTION AND INTERFERE WITH LGBTQ FAMILY FORMATIONS, AND WOULD HAVE PUT LOCAL PREEMPTION MEASURES IN PLACE THAT COULD HAVE BEEN USED TO ATTACK LOCAL NON-DISCRIMINATION POLICIES.WE DEEPENED OUR RELATIONSHIP WITH THE FLORIDA CHAMBER OF COMMERCE, ATTENDING CANDIDATE INTERVIEWS, THE FUTURE OF FLORIDA FORUM, AND SUCCESSFULLY ADVOCATED TO INCLUDE QUESTIONS REGARDING LGBT WORKPLACE PROTECTIONS ON THE CHAMBER'S POLITICAL INSTITUTE CANDIDATE EVALUATION FORMS.ON THE LOCAL LEVEL, EQUALITY FLORIDA HAS BEEN INSTRUMENTAL IN THE PASSAGE OF MORE THAN 170 LOCAL POLICIES, INCLUDING NONDISCRIMINATION, DOMESTIC PARTNERSHIP, SAFE SCHOOLS, TAX EQUITY, EQUAL BENEFITS AND CONVERSION THERAPY ORDINANCES. IN 2018, WE PROVIDED LOCAL SUPPORT AND LOBBIED TO BAN CONVERSION THERAPY IN CITIES AND COUNTIES AROUND THE STATE, SUCCEEDING IN GAINESVILLE AND BROWARD COUNTY, WHICH BECAME THE 20TH MUNICIPALITY IN THE STATE TO INSTITUTE A BAN.
