Form 990, Part VI, Section B, Line 12C

The board of directors requires an annual declaration from all board members and senior management as to the existence and disclosure of any potential conflicts of interest. The board members sign a disclosure statement. Any potential conflicts are discussed by the dis-interested board members, while the party in potential conflict is required to leave the room. Board meeting minutes will document the discussion and decision making process. In the event of a potential conflict, procedures to obtain competitive bids and diligence on fair market value will be established.

When bfp was first established and was operating with very limited funding and later under the fiscal sponsorship of open space institute, initial salaries were determined largely by the limited financial resources available (and were less than market averages). There is now a process for hiring new staff that consists of the leadership team (director-level staff) defining and approving a job description and salary range-with board input on postings for director-level staff-soliciting potential candidates via advertisement and networking, and candidate interviews. Please note that when changes to the executive director's salary are discussed, the board conducts these discussions during an executive session at which the executive director is not present.

The organization currently evaluates all tax positions, and makes a determination regarding the likelihood of those positions being upheld under review. The primary tax positions made by the organization are the nonexistence of unrelated business income tax and the organization's status as a tax-exempt organization under section 501(c)(3) of the internal revenue code.
