“Each Director, Principal Officer and members of the Governing Board shall annually sign a statement which affirms such person:A. Has received a copy of the conflicts of interest policy,B. Has read and understands the policy,C. Has agreed to comply with the policy, and D. Understands Dignity Period is a charitable organization and in order to maintain its federal tax exemption, it must engage primarily in activities which accomplish one or more of its tax exempt purposes.To ensure Dignity Period operates in a manner consistent with charitable purposes and does not engage in activities that could jeopardize its tax-exept status, periodic review shall be conducted. The periodic reviews shall, at a minimum, include the following subjects: A. Whether compensation arrangements and benefits are reasonable, based on competent survey information, and the result of arms length bargaining.B. Whether partnerships, joint ventures, and arrangements with management organizations conform to Dignity Periods written policies, are properly recorded, reflect reasonable investment or payments for goods and services, further charitable purposes and do not result in inurement, impermissible private benefit or in an excess benefit transaction.Procedures for addressing the conflict of interest:A. An interested person may make a presentation at the governing Board meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict. B. The chairperson of the governing Board shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement.C. After exercising due diligence, the governing Board shall determine whether Dignity Period can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. D. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing Board shall determine by a majority vote of the disinterested Directors whether the transaction or arrangement is in Dignity Periods best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination, it shall make its decision as to whether to enter into the transaction or arrangement.Violations of the Conflicts of Interest Policy:A. If the governing Board has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose.B. If, after hearing the members response and after making further investigation as warranted by the circumstances, the governing Board determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action.”
“A salary comparison and/or survey is used to benchmark compensation for the position(s). While the organization focuses on comparable nonprofit organizations to benchmark the compensation package the market for high caliber executives may be broader than this group. The Board will determine the relevant market data for the principal positions by obtaining reliable and comparable data from published surveys of both tax-exempt and for-profit organizations focusing on data from comparably organized institutions with similarly sized budgets. Market information from published not-for-profit compensation surveys such as GuideStar, industry specific reports and other studies, private foundations, market segments and other published survey data may be used as guidance. The programs goals are to end period poverty in Ethiopia and throughout the United States where need is known. The Organization operates: to promote scientific and medical research on menstruation and menstrual disorders; to achieve a deeper understanding of social attitudes and cultural belief about menstruation by promoting high-quality ethnographic research on these topics; to promote the dissemination of accurate scientific information concerning the biology of menstruation and menstrual disorders to girls and women, with a special emphasis on reaching girls and women living in resource-poor environments and in cultures where menstruation is viewed negatively; to combat negative cultural attitudes towards normal human female reproductive physiology and to dispel false notions and cultural myths about menstruation and menstrual hygiene; to promote the development and use of comfortable, low-cost, locally-produced, environmentally-friendly, re-useable menstrual hygiene products as an important means to achieving satisfactory menstrual hygiene for girls and women; to make such products widely available--at or below the cost of manufacture where necessary--in resource-poor areas so that the dignity of girls and women is preserved, and the quality of their daily lives is enhanced during menstruation; and to ensure through the activities outlined above that no girl or woman is forced to sacrifice her education due to a lack of satisfactory menstrual hygiene and the presence of negative cultural attitudes towards menstruation and female reproductive biology.”

In 2019, research conducted by the Organization in conjunction with Saint Louis University confirmed the presence of substantial period poverty in the community. Based on this research, the Organization began a US-based program focusing on the distribution of kits containing 4 washable, reusable menstrual pads(equivalent of 240 disposable pads each kit) to schools, libraries, food pantries and other collaborating organizations throughout the US. The Organization also is developing educational material to be distributed with the kits, that provides instruction on the use of pads, addresses the biology of menstruation and debunks taboos and misinformation which are prevalent concerning menstruation. In 2023, the Organization reached approximately 15,000 individuals through the U.S.-based program, providing them with sustainable pad kits to meet their menstrual hygiene needs for at least 12 months. |

Since the Organization started its programs, it has reached over 350,000 students and distributed over 166,000 menstrual hygiene kits in Ethiopia (the equivalent of almost 40 million disposable menstrual hygiene products). The Ethiopian program is carried out in collaboration with the College of Health Services at Mekelle University in the Tigray Region, along with a private company located in the city of Mekelle, the Mariam Seba Sanitary Products Factory. The Organization continues to work toward dispelling false notions and cultural myths about menstruation and menstrual hygiene. The Organization also works in partnership with Ayder Comprehensive Specialized Hospital to supply menstrual hygiene kits to post-partum women. |
