Governance Explanations

Form 990, Part VI, Section A, line 6

The Loup Basin RC & D Council has 76 sponsors and is an open-membership council. The sponsors include counties, communities, Natural Resource Districts, organizations, and individuals. Representatives of these entities provide direction and leadership to identify and address the area's needs. Each member in good standing with dues paid to date, is entitled to on vote on each matter submitted to a vote of the members. Communicating with its constituents is very important to the Loup Basin RC & D Council. The Council accomplishes this through its website - www.loupbasinrcd.org, publishing a monthly newsletter sent to over 300 entities, and a bi-monthly radio broadcast. Additionally, news releases are used to promote specific events or activities.

Form 990, Part VI, Section A, line 7A

An annual meeting of the Council is held in September to receive a "State of the Area report" to elect officers for the Executive Committee and to adopt a budget and plan of work for the coming year. ELECTION OF BOARD MEMBERS is by vote of the members present at the annual meeting previously announced through radio and internet.

Forms 990EZ or 990 are reviewed by the Board of Directors and signed by the President of the Board. There are 76 members with dues paid and they all have voting rights.

Item 11 of the Bylaws: Conflict of Interest Definition: A conflict between the private interest and the official responsibilities; of a member of the Executive Board or any committee shall constitute a "Conflict of Interest". A member of the Executive Committee or any committee shall not vote on any matter, which would involve a "Conflict of Interest. "Conflict of Interest" shall preclude involvement in any decision whereby the member stands to receive direct personal gain. The audit committee reviews all bids and transactions to determine that there is no conflict of interest within the organization.

Item 9 of the Bylaws: The Council will be responsible for providing guidance to the Loup Basin RC & D Executive Director selected by the Loup Basin RC & D Council Executive Board. Supervision will come from Executive Board of the Loup Basin RC & D Council.

The sponsors include counties, communities, Natural Resource Districts, organizations, and individuals. Representatives of these entities provide direction and leadership to identify and address the area's needs. Each member in good standing with dues paid to date, is entitled to on vote on each matter submitted to a vote of the members. Communicating with its constituents is very important to the Loup Basin RC & D Council. The Council accomplishes this through its website - www.loupbasinrcd.org, publishing a monthly newsletter sent to over 300 entities, and a bi-monthly radio broadcast. Additionally, news releases are used to promote specific events or activities.

"Conflict of Interest" shall preclude involvement in any decision whereby the member stands to receive direct personal gain. The audit committee reviews all bids and transactions to determine that there is no conflict of interest within the organization.
