Governance Explanations

Form 990, Part VI, Section A, Line 6

The association is comprised of various membership categories. See explanation for line 7a for more information.

Form 990, Part VI, Section A, Line 7A

The association is comprised of various membership categories. Regular corporate members may vote at the annual general membership meeting on the election of officers and directors.

Form 990, Part VI, Section B, Line 11

Copies of the form 990 and 990-t and state tax forms are forwarded via e-mail to the directors for review and comment prior to filing.

Form 990, Part VI, Section B, Line 12C

All officers and directors are required to certify the absence of a conflict of interest at the annual spring board of directors meeting. Each officer and director annually signs a statement that he or she has received a copy of the conflict of interest policy, has read and understands the policy, and has agreed to comply with the policy. The president/ceo conducts a periodic review to ensure compliance with the policy.

Form 990, Part VI, Section B, Line 15A

Compensation of the president/ceo is determined by periodically employing an independent consultant to advise on comparable compensation for similarly qualified persons in functionally comparable positions at similarly situated organizations and upon the recommendation of the executive committee (chairman of the board of directors, immediate past chairman, chairman-elect and vice chairman) subsequent to a performance review. The voting members of the board of directors approve the compensation of the president/ceo.

Financial Statement Notes

PART X, LINE 2:

Management evaluates uncertainty in income tax positions based on a "more-likely-than-not" recognition standard. If that threshold is met, the tax position is then measured at the largest amount that is greater than 50% likely of being realized upon ultimate settlement. Management has evaluated the tax positions taken by the association and has concluded that as of december 31, 2013, there are no uncertain tax positions taken or expected to be taken that would require an adjustment or disclosure in the association's financial statements.

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0MANAGEMENT EVALUATES UNCERTAINTY IN INCOME TAX POSITIONS BASED ON A "MORE-LIKELY-THAN-NOT" RECOGNITION STANDARD.
