The finance & budget committee of the board of directors is given a memo from the human resources director that shows the ceo's current salary and what the increase would be with a maximum in most years of 4.25%. The committee has discussion without the ceo present. Periodically, a salary survey is done, with the information provided to the board. The chairman of the board presents a signed document to the human resources director stating what the ceo's salary should be for the coming year.
