The battery foundation's conflict of interest policy covers directors, officers, and members of a committee with governing board delegated powers. The board of directors (less the financially interested person(s)) reviews conflicts of interest and makes the determination on whether a conflict of interest exists. Persons with a conflict of interest are barred from participating in any decisions on the related matter and from voting on any related issues.

The compensation of the executive director was decided and approved by the full board of directors in 2017. Amplifier strategies was engaged as a consultant at that time and supported compensation review. Since then amplifier has not been engaged and only one adjustment to the ed salary has been made a cost of living adjustment of 3% was made for 2018 in line with the consumer price index from the bureau of labor statistics for the san francisco area. The same cost of living adjustment was made for all employees. One employer at the manager level also received a merit increase for excellent annual performance as documented in her annual evaluation.

Financial Statement Notes

PART X, LINE 2:

The foundation has been granted tax-exempt status under section 501(c)(3) of the internal revenue code and section 23701d of the california revenue and taxation code. In addition, the foundation has been determined by the internal revenue service not to be a private foundation within the meaning of section 509(a) of the internal revenue code. Management evaluated the foundation's tax positions and concluded that the foundation had maintained its tax-exempt status and had not taken uncertain tax positions that required adjustment to the financial statements. Therefore, no provision or liability for income taxes has been included in the financial statements.
