Governance Explanations

Form 990, Part VI, Section B, Line 11B

Explanation: the full board will review the form 990 and vote to approve or modify.

Form 990, Part VI, Section B, Line 12C

Annually all staff and board members are sent a list of all contributors and vendors of $5,000 or more and the conflict of interest policy. Staff and board members are asked to review the policy and the list of contributors and vendors. They are then asked to email the chief operating officer indicating that they have read and reviewed the policy and indicate whether or not they have any conflicts that need to be disclosed. Additionally, throughtout the year as new contracts are signed, staff involved in the vendor selection process are asked whether or not a conflict of interest exists. Significant contracts that require board approval also follow the same process.

Form 990, Part VI, Section B, Line 15A

The board of directors reviews and approves the ceo's compensation.

Form 990, Part VI, Section C, Line 19

Explanation: documents are available on our website, guidestar and the website of the california secretary of state/attorney general website. Governing documents are also available by e-mail request.

Additional Explanations

FORM 990, PART XII, LINE 2C:

The organization has a finance committee that assumes oversight for the financial statement audit. The oversight process is consistent with the prior year.

Financial Statement Notes

PART X, LINE 2:

Explanation: the organization requires that a tax position be recognized or derecognized based on a "more-likely-than-not" threshold.
