MCFI HC has a single class of members, and the sole member of that class is CFI.

CFI has the power to elect the Board of Directors of MCFI HC.

Form 990, Part VI, Section A, line 7B

The business affairs of MCFI HC are managed by CFI, which has the full and complete authority, power, and discretion to a) manage and control the business, affairs, and properties of MCFI HC, b) to make all decisions regarding those matters, and c) to perform any and all other acts or activities customary or incident to the management of MCFI HC's business including, but not limited to, directing the activities of any officers or employees of MCFI HC, apppointing and removing persons as officers of MCFI HC, and calling and holding meetings of the Member.

Form 990, Part VI, Section B, line 11B

MCFI HC is an affiliate of CFI, which assists in managing the organization. CFI Finance management and staff completed the Form 990 and related schedules. Following completion, the Form 990 and related schedules were reviewed by the Controller and the CFO. The draft was also reviewed by the Chairman of the CFI Audit Committee prior to submission to the IRS. A copy of the Form 990 was made available to the CFI Board of Directors and Finance Committee prior to submission to the IRS.

Form 990, Part VI, Section B, line 12C

Annually, all directors and officers complete and sign a statement that provides information regarding their interests, and those of their family members that could give rise to conflicts. The signed statements are kept on file by CFI's Executive Office Manager. CFI's management makes determinations of whether a conflict exists and the governing body reviews actual conflicts. Any person with a conflict is prohibited from participating in the governing body's discussions and decisions on the transaction.

Form 990, Part VI, Section B, line 15

CFI periodically hires an independent consulting firm to perform a study of the compensation of the President and certain other employees based on their job descriptions. The consulting firm conducts market research and determines a fair compensation range for each individual based on a competitive peer group. In between these periodic independent studies, the VP of Human Resouorces determines appropriate compensation ranges for the President and certain other employees by reviewing the Form 990 of similar organizations and other market data. As reports are completed, the President's compensation range is presented to, discussed with, and approved by the executive committee of the governing body.
