“Every employee is required upon hire to review and sign the almmii confidentiality policy. Almmii consistently reviews its conflict of interest policy on an annual basis with each employee and requires them to disclose any new conflict of interest. With respect to the board and corporate officers, there is a written conflict of interest policy adopted in march 2024. In addition, the charter for the nominating and governance committee of the almmii board sets forth the following as part of such committee's duties and responsibilities: review any conflicts of interest that may affect almmii or any of its respective executive officers or board members. Reports to the board should be made to address any conflict of interest issue as recommended by the committee and deemed necessary by the chairman of almmii. Each member of the board and each executive officer completes a conflict of interest questionnaire upon election to the board, or on an annual basis, or as necessary, which is reviewed by such committee.”

“The almmii board has a compensation committee whose stated purpose is to make recommendations to the board of directors with respect to the compensation of the ceo & executive director, as well as the other executive officers of almmii who report directly to the ceo & executive director, plus any employee of almmii whose total compensation equals or exceeds that of any of such direct reports. Almmii's board reviews the recommendations from the compensation committee and approves the compensation amounts for those employees. The board documents the compensation setting process in its meeting minutes. The board approved the compensation plan for non-employee board members based upon its determination that such a plan was necessary to attract and retain qualified board members and after a multi-month analysis, including the engagement of a reputable compensation consulting firm to conduct an independent assessment of the market for board compensation among peer organizations.”

“Almmii makes its governing documents, conflict of interest policy, and financial statements available to the public upon request, for the same period of time as set forth in the internal revenue code section 6104(d).”

“The board of directors is responsible for overseeing the audit of the financial statements and the selection of an independent accountant that audited the statements.”
