Governance Explanations

Form 990, Page 6, Part VI, Line 1A

The board may appoint an executive committee to consist of the chair and two other directors. All actions taken by the executive committee shall be reported to and reviewed by the board. Except for the power to fill vacancies in the board and as may otherwise be provided herein or by the board, such committee shall, during the intervals between the meetings of the board, possess and may exercise any or all of the powers of the board in the management of the affairs of the corporation as may be delegated to it by the board. The board may appoint one or more directors as alternate members of the executive committee who may take the place of any absent member or members at any meeting.
