“Once completed we send a preview document to Jacob Johnson treasurer of the organisation for review. We also send a copy to all members of the board officers and directors included for their review. We provide one week for this review and accommodate questions and comments into the document before filing it by the deadline.”

“We acknowledged the need for the organization to formalize conflict of interest review and approval procedures in the 2020 tax year and finalized and implemented them during the current tax year. All officers directors employees and contractors are required to comply with our conflict of interest review process annually. Each required person completes an online conflict of interest declaration form that is submitted to an audit committee consisting of 1 compliance officer who is an active board member and 2 other individuals - no person on this audit committee may have real or perceived economic incentive associated with the organization. The audit committee reviews declaration forms as they arrive and presents any concerns to the Board of Directors during meetings of the Board of Directors. On a biannual-basis outside of reviewing declaration forms the committee reviews all personnel and activities of the organization for real or perceived conflicts of interest.”

“The individual in question provides a suggested level of compensation to the Board of Directors. Prior to review all board members are requested to declare any potential conflicts of interest relating to compensation of said person. Board members with real or perceived conflicts of interest refrain from participation for the remainder of the review process. All remaining Board Members have a live discussion of the suggested compensation in lieu of the organizational budget the cost of hiring someone external to perform the tasks and the level of compensation that would be received by someone of similar credentials and responsibility at a NPO of similar size and annual budget. Based on this review process an offer is made to the individual in question and negotiation between the Board of Directors and said person continues until an agreement is reached or it is determined that altenative candidates will be considered. Determination of this process is documented and incorporated to the biannual meetings of the Board of Directors and associated minutes.”

This is our second year filing a full 990 form and we were able to finalise a conflict of interest policy and a whistleblower policy and we are currently working on a document retention policy. We actively adopted the conflict of interest and whistle blower policies. We hope to have a document retention policy in place by the end of fiscal year 2022-2023.”
