Our mission is to provide underserved women from low-income immigrant communities with high quality, affordable primary care and health promotion programs, empowering them to lead healthier lives.

Our mission is to provide underserved women from low-income immigrant communities with a health promotion and empowerment program. Effective june 30, 2023, grameen primacare and its main program, grameen promotoras, were officially acquired by its sister organization, grameen america, by unanimous consent of the grameen primacare board of directors. All employees, assets, laibilites, and intellectual property were transferred to grameen america, inc.

Allison pritzker schwartz and karen pritzker have a family relationship.

Form 990, Part VI, Section B, Line 11B

Grameen primacare provides all voting members of the governing body with access for review purposes of the irs form 990 prior to it being filed with the internal revenue service. The executive director will submit a draft copy of the form to the governing body 14 days before the return is due. Each director will be given the opportunity to respond in writing or by e-mail asking any questions or objecting to any information presented on the form. In the event that the objection cannot be resolved between the director and the executive director then the return shall be extended and the subject is included as an agenda item at the next regularly scheduled meeting. It shall be deemed sufficient for the executive director to provide a draft copy to all voting members by e-mail, and requesting that approval is implied by a no response to the e-mail. The executive director shall provide evidence in the form 990 file that this policy has been complied with and copies of all correspondence, questions and objections.

Form 990, Part VI, Section B, Line 12C

In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing body delegated powers considering the proposed transaction or arrangement. After disclosure of the interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing body or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining governing body or committee members shall decide if a conflict of interest exists. An interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the governing board or committee shall determine whether the organization can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the organization's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination it shall make its decision as to whether to enter into the transaction or arrangement.

Grameen primacare consulted external reports to compare salaries of all senior staff with the industry standard in new york before establishing compensation. This was last conducted in march 2018.

The organization is exempt from federal income tax under section 501(c)(3) of the internal revenue code and from state and local taxes under comparable laws. Accounting principles generally accepted in the united states of america require management to evaluate tax positions taken by the organization and recognize a tax liability if the organization has taken an uncertain tax position that more likely than not would be sustained upon examination by the internal revenue service.
