Governance Explanations

Form 990, Part VI, Section A, line 6

The Organization has four members who were elected by the sole incorporator.

Form 990, Part VI, Section A, line 7A

The members have the right to appoint individuals to the Board of Directors.

Form 990, Part VI, Section B, line 11B

The Form 990 is prepared by a third party. The Form 990 goes through a detailed review internally by management. Once the return has gone through this review, the final Form 990 is distributed via email to each member of the Board of Directors with a recommendation to file the return with the IRS.

Form 990, Part VI, Section B, line 12C

The Conflict of Interest Policy is sent to every Member, Director and Committee Member and signed on an annual basis. In connection with the policy, interested persons must disclose the existence of a conflict and be given the opportunity to disclose all material facts to the Members, Directors, and Committee Members. Interested person will not be present at committee meetings regarding the proposed transaction or arrangement. To ensure the charity operates in a manner consistent with charitable purposes and does not engage in activities that could jeopardize its tax-exempt status, periodic reviews of this policy are conducted. The periodic reviews may, but need not, use outside advisors, but their use will not relieve that governing board of its responsibilities for ensuring the periodic reviews are conducted.

Form 990, Part VI, Section B, line 15

The Corporation will enter into a written employment agreement, specifying the date and terms of any arrangement whereby the Corporation will pay compensation to a key employee, prior to paying compensation to any key employee. The Corporation can only enter into an employment agreement for a key employee with the approval of a majority of the Board of Directors. When determining whether to vote for a proposed employment arrangement, the Board of Directors considers information about compensation paid by similarly situated taxable or tax-exempt organizations for similar services, current compensation surveys compiled by independent firms, or actual written offers from similarly situated organizations.

NYC FIRST's STEM Centers provide high school students with immersive and sustained STEM education focused on technology and engineering. In a centralized location, each STEM Center provides local high schools with access to facilities and equipment too scarce and expensive to procure, maintain and scale in individual schools. The centers also provide the opportunity for students and teachers to learn from our professionals who have deep knowledge of advanced STEM machines and tools. Each STEM Center provides a hands-on, collaborative learning experience initially focused on robotics and mechatronics, using advanced equipment and tools, including laser cutters, 3D printers, CNC routers, drill presses, and other items. Students create and develop their own projects, learn 21st century skills, and gain critical knowledge, training and experience. Courses are conducted in immersive half-day blocks of time, without the strict time boundaries of typical classroom periods.

IRS990/Desc0See Schedule O.NYC FIRST manages all four FIRST programs (FIRST Lego League Junior, FIRST Lego League, FIRST Tech Challenge and FIRST Robotics Competition) serving students ages 6 to 18 in the five boroughs of NYC as well as some of the surrounding metropolitan area. Each of the programs is designed to provide innovative skill building in Science, Technology, Engineering and Math through hands-on, team based activities. Most of the activity takes place as after school programs with some community based activities and some in classroom training.NYC FIRST coordinates events throughout the NYC Metro Area where students exhibit and compete with their robots. In the fiscal year ending June 30, 2018, twenty-one qualifying tournaments, three expos, three championship tournaments and over a dozen outreach events were held. Technical training and professional development sessions were also held including two 3 day professional development sessions for 50 NYC public middle school teachers. NYC FIRST works with teachers, coaches, parents, corporate volunteers and university students to develop and sustain teams. Weekend and evening workshops were led by staff and volunteers in the months leading up to competition (October through February). There were over 500 teams in the NYC region in 2017 impacting approximately 6,000 students. More than 700 volunteers worked with students through mentoring, training and volunteering at events.NYC FIRST Inc. has a close connection to FIRST, a separate not-for-profit organization that is considered unrelated for tax purposes. NYC FIRST is the official representative of all FIRST programs in New York City. NYC FIRST enters into agreements with FIRST that outline its roles and responsibilities to further the mission of FIRST. Through these various agreements, the two organizations participate in transactions including grants and the sharing of event revenue and expenses.NYC FIRST launched its first STEM Center, providing high school students with immersive and sustained STEM education focused on technology and engineering.
