Mission and Program Overview

Mission

PACE, or Programs of All-Inclusive Care for the Elderly, provides comprehensive health care and services that allow individuals 55 years and older who qualify for nursing home level of care to remain in the community with their family and friends. The North Carolina PACE Association promotes this proven program and works to expand it so that all North Carolinians have access to PACE services. We know that PACE provides better care, an improved quality of life and is cost-effective.

The Association support the development, expansion, success and quality of PACE (Program of All-Inclusive Care for the Elderly) programs in North Carolina, so that every person who is eligible for PACE will have access to this service.

North Carolina PACE Association adopted revisions to its bylaws on 06/14/2019 to provide greater detail to its membership classes, update its committees and committee membership and align its officer terms.

Form 990, Part VI, Section A, Line 6

The Association has two classes of members, as described in its bylaws. Provider members are those that are an operational PACE program in the state of North Carolina. Associate members include all other organizations and individuals.

Form 990, Part VI, Section A, Line 7A

Provider members shall each be entitled to appoint one (1) individual to serve as a director of the Association with the right to vote; provided, however, that management organizations that own and/or operate more than one (1) PACE Organization shall only be entitled to a single appointee to the Board of Directors, regardless of the number of PACE Organizations owned and/or operated by such management organization.

Form 990, Part VI, Section A, Line 7B

The annual meeting of members shall be held on the date fixed by the Board of Directors, or if the Board of Directors shall fail to act, then as shall be fixed by the Chair, for the purpose of electing the members of the Board of Directors and for the additional purpose of voting on such other matters which the Board of Directors may elect to submit to the members for vote or such other matters on which the members are entitled to vote by law.

The Form 990 was provided to each member of the Board of Directors for review, comment, input and oversight prior to submission.

Form 990, Part VI, Section B, Line 12C

Members of the Board annually complete a conflict of interest form and are polled for any conflicts at the beginning of each board meeting. If any contract or transaction arises before the Board of Directors, any director, officer or key employee must make a full and prompt disclosure of his/her interest before Board action is taken. The disclosure includes any relevant and material facts which may be adverse to the Association. The Board, by 75% of the vote, determines if a conflict exists or could be reasonably construed to exist. The conflicted person is then restrained from participating in Board deliberations and in voting on such matters.

Form 990, Part VI, Section B, Line 15

In adopting the annual budget for the organization, the governing body (the Board of Directors) approved compensation for the Association's Executive Director. The Executive Director is a non-voting member of the Board, and the only member with a conflict of interest in the decision. Members of the Board of Directors have knowledge of comparable compensation for similar positions. The decision was contemporaneously recorded in the minutes of the Board of Directors. There are no other compensated officers, officials, or key employees in the organization.

The Association is exempt from federal and state income taxes under Section 501(a) of the Internal Revenue foundation within the meaning of Section 509(a) and qualifies for deductible contributions provided in Section 180(b)(1)(A)(vi). It is the Association's policy to evaluate all tax positions to identify those that may be considered uncertain. All identified material tax positions are series tax returns in the U.S. Federal jurisdiction. The Association's tax returns are subject to examination by the Internal Revenue Service statements. Any changes in the amount of a tax position are recognized in the period the change occurs. The Association files its Form 990 assessed by a "more-likely-than-not" threshold to determine if the benefit of any uncertain tax position should be recognized in the financial for a period of three years after the respective filing deadline.
